Statutory text

Bare law

A Court deciding any matter relating to a registered firm may direct that the Registrar shall make any amendment in the entry in the Register of Firms relating to such firm which is consequential upon its decision; and the Registrar shall amend the entry accordingly.

Central rule and applicability

A court deciding a matter relating to a registered firm may direct a register amendment that follows from its decision. When that direction is made, the Registrar shall amend the entry accordingly. The scope of the court's actual decision and direction controls the update.

Limits and related provisions

A party's allegation, draft order or private interpretation of a judgment is not itself the direction described here. Section 65 does not let the Registrar independently reopen the underlying court decision or extend it to unrelated changes. Stays, later orders and the current procedural position need checking.

Hypothetical business example

Hypothetical: a court determines a disputed partnership matter and expressly directs correction of the affected registered particulars. The parties provide the operative order through the prescribed procedure and verify that the amended entry follows the direction, without adding changes the court did not order.

Practical decision flow

Read the operative decision and identify any express consequential register direction.

Check the order's present operation, including a stay or later modification, and supply the required authenticated material to the Registrar.

Compare the amended entry with the court's direction and raise any implementation discrepancy through the proper process.

Check the applicable state law

This guide explains the central Section 65 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.

Section 65 does not let the Registrar independently reopen the underlying court decision or extend it to unrelated changes. Stays, later orders and the current procedural position need checking.

Glossary

Consequential amendment
A register change that follows from the court's decision.
Operative direction
The enforceable direction in the court's order, read with any later modification or stay.

Frequently asked questions

Does every court case automatically amend the Register?

No. Section 65 concerns a court direction for an amendment consequential upon its decision.

Can the Registrar add unrelated corrections under the order?

The Section 65 amendment must follow the court's direction. Other changes need their proper legal basis and procedure.

How does this differ from Section 64?

Section 64 addresses rectification of mistakes; Section 65 addresses a consequential amendment directed by a court.
