Statutory text

Bare law

(1) When a change occurs in the constitution of a registered firm any incoming, continuing or outgoing partner, and when a registered firm is dissolved any person who was a partner immediately before the dissolution, or the agent of any such partner or person specially authorised in this behalf, may give notice to the Registrar of such change or dissolution, specifying the date thereof; and the Registrar shall make a record of the notice in the entry relating to the firm in the Register of Firms, and shall file the notice along with the statement relating to the firm filed under section 59.

(2) When a minor who has been admitted to the benefits of partnership in a firm attains majority and elects to become or not to become a partner, and the firm is then a registered firm, he, or his agent specially authorised in this behalf, may give notice to the Registrar that he has or has not become a partner, and the Registrar shall deal with the notice in the manner provided in sub-section (1).

Central rule and applicability

For a constitution change, an incoming, continuing or outgoing partner may notify the Registrar. On dissolution, a person who was a partner immediately beforehand may do so. A specially authorised agent of the relevant person may act. Subsection (2) covers the former minor, or specially authorised agent, notifying whether the person has become a partner when the firm is then registered.

Limits and related provisions

The Registrar notice does not replace every public-notice requirement. Section 72 may additionally require Gazette and vernacular-newspaper publication. Section 30 governs the minor's election and its consequences; Section 63 does not create a fresh unlimited election period. State amendments may add deadlines and other filing conditions.

Hypothetical business example

Hypothetical: a partner retires from a registered firm. The outgoing partner gives the Registrar notice of the constitution change with its date and checks the register record, while separately arranging the applicable Section 72 publications and assessing continuing liability under Section 32.

Practical decision flow

Identify the exact event and date: constitution change, dissolution or the admitted minor's election.

Use an eligible notifier or specially authorised agent and meet the current State form, fee and deadline requirements.

Confirm the register record and separately complete any required public notices and liability-release arrangements.

Check the applicable state law

This guide explains the central Section 63 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.

No. Section 72 specifies additional publication requirements for its listed cases.

Does this section give a new deadline for a former minor's election?
