Statutory text

Bare law

Where the Registrar is satisfied that the provisions of section 58 have been duly complied with, he shall record an entry of the statement in a register called the Register of Firms, and shall file the statement.

Central rule and applicability

Submitting a registration application and being entered in the Register are distinct events. Section 59 links the Registrar's entry to satisfaction about the Section 58 statement and its requirements. The recorded entry is important evidence when later examining registration-dependent rights.

Limits and related provisions

A payment receipt or uploaded form alone should not be described as proof that registration is complete. Section 59 also does not incorporate a company or an LLP, or decide every dispute about partnership formation. Section 69 has its own conditions about registration and persons shown as partners.

Hypothetical business example

Hypothetical: a firm pays the prescribed application fee but receives a request to correct the signed particulars. It follows up until the Registrar records the entry and obtains a certified record, rather than treating the fee receipt as a substitute for registration evidence in a proposed suit.

Practical decision flow

Complete the Section 58 particulars, signatures, verification and applicable State filing requirements.

Respond to the Registrar's deficiencies and track the actual entry in the Register of Firms.

Preserve the recorded particulars and obtain the appropriate certified entry when registration evidence is needed.

Check the applicable state law

This guide explains the central Section 59 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.

Recorded entry
The registration record made after the Registrar is satisfied about Section 58 compliance.

Frequently asked questions

Is uploading the application enough to say the firm is registered?

Do not assume so. Section 59 requires the Registrar to record an entry after being satisfied about Section 58 compliance.

Does registration create an LLP?

No. Registration of a partnership firm under this Act is different from LLP incorporation.

Why keep the names recorded in the Register?

They matter for later changes and for provisions such as Section 69, which examine both registration and the persons shown as partners.
