Statutory text
Bare law
The “holder” of a promissory note, bill of exchange or cheque means any person entitled in his own name to the possession thereof and to receive or recover the amount due thereon from the parties thereto.
Where the note, bill or cheque is lost or destroyed, its holder is the person so entitled at the time of such loss or destruction.
Applicability and limits
A holder must be entitled in their own name both to possess the note, bill or cheque and to receive or recover its amount.
Mere custody for another person does not necessarily make the custodian the holder; entitlement, not physical possession alone, controls.
Hypothetical example
Hypothetical: a courier carries a cheque to a bank for a company. The company’s entitlement and the courier’s custody are different questions under Section 8.
Evidence and decision flow
Identify the named payee, bearer or indorsement chain.
Confirm the claimant’s own-name entitlement to possession and payment.
Retain the instrument and transfer records showing how entitlement arose.
Practical checklist
Do
- Check whose name carries the current entitlement to the instrument and its proceeds.
- Keep the original or a documented custody trail; if lost, preserve proof of the entitlement at the time of loss.
Avoid
- Do not rely on the label of an instrument alone; read its wording and the related Act provisions.
Glossary
- Holder
- Person entitled in their own name to possess and recover the instrument amount.
- Entitlement
- The legal right to possession and recovery, beyond temporary custody.
Frequently asked questions
Is the person physically holding a cheque always the holder?
No. Section 8 requires entitlement in that person’s own name.
What if the instrument is lost?
The statutory definition also addresses entitlement where the instrument is lost or destroyed; preserve evidence of that entitlement.
