Statutory text

Bare law

Any such instrument not so drawn, made or made payable shall be deemed to be a foreign instrument.

Key rule and applicability

Read “not so drawn, made or made payable” with section 11. A note, bill or cheque outside that inland classification is deemed a foreign instrument.

Limits and related provisions

A foreign counterparty or foreign currency does not, by itself, answer the classification question. Also distinguish classification from the separate provisions governing foreign instruments, proof, protest and applicable law.

Hypothetical business example

Hypothetical: a bill drawn outside India is presented to a business in India. The business checks the actual making and payment facts against section 11 before treating section 12 as the classification rule.

Practical decision flow

Collect the instrument and evidence of its place of drawing or making.

Apply the complete section 11 test first.

If the instrument is foreign, identify the separate requirements relevant to the transaction and dispute.

Practical checklist

Do

  • Collect the instrument and evidence of its place of drawing or making.
  • Apply the complete section 11 test first.
  • If the instrument is foreign, identify the separate requirements relevant to the transaction and dispute.

Avoid

  • A foreign counterparty or foreign currency does not, by itself, answer the classification question. Also distinguish classification from the separate provisions governing foreign instruments, proof, protest and applicable law.

Glossary

Foreign instrument
An instrument falling outside the preceding inland classification.
Classification
The statutory category determined from the instrument’s relevant facts.

Frequently asked questions

Can section 12 be read without section 11?

Its words refer back to the preceding inland-instrument test, so read the two together.

Does an overseas payee automatically make the instrument foreign?

No. Apply section 11’s making, payment and residence conditions.

Does foreign classification itself decide enforceability?

No. It supplies a classification; the relevant enforceability and procedural rules must also be considered.
