Statutory text

Bare law

When a promissory note, bill of exchange or cheque is transferred to any person, so as to constitute that person the holder thereof, the instrument is said to be negotiated.

Applicability and limits

Negotiation occurs when a note, bill or cheque is transferred so that the transferee becomes its holder.

A handover that does not make the recipient the holder is not enough; the form of transfer may also require delivery or indorsement under Sections 46–48.

Hypothetical example

Hypothetical: a seller transfers an order cheque to a vendor. The vendor checks indorsement and delivery before treating the transfer as negotiation.

Evidence and decision flow

Classify the instrument as bearer or order.

Check the required transfer act and resulting holder status.

Keep indorsement and delivery evidence.

Practical checklist

Do

  • Identify the transferor, recipient and instrument wording.
  • Check whether delivery or indorsement requirements apply to that instrument.
  • Record when and how the recipient acquired holder rights.

Avoid

  • Do not rely on the label of an instrument alone; read its wording and the related Act provisions.

Glossary

Negotiation
Transfer that makes the recipient the instrument’s holder.
Transferee
The person receiving the instrument.

Frequently asked questions

Is physical handover always negotiation?

Where are transfer methods explained?
