Statutory text

Bare law

Where a contract creating partnership is rescinded on the ground of the fraud or misrepresentation of any of the parties thereto, the party entitled to rescind is, without prejudice to any other right, entitled—

(a) to a lien on, or a right of retention of, the surplus or the assets of the firm remaining after the debts of the firm have been paid, for any sum paid by him for the purchase of a share in the firm and for any capital contributed by him;

(b) to rank as a creditor of the firm in respect of any payment made by him towards the debts of the firm; and

(c) to be indemnified by the partner or partners guilty of the fraud or misrepresentation against all the debts of the firm.

Central rule and applicability

Without prejudice to other rights, the party entitled to rescind has the stated lien or retention right in remaining assets after firm debts for the share-purchase sum and contributed capital. That person ranks as a firm creditor for payments toward firm debts and can seek indemnity against firm debts from the partner or partners guilty of the fraud or misrepresentation.

Limits and related provisions

An allegation alone is not the same as the contract being rescinded on the stated ground. The asset protection follows payment of firm debts; it should not be described as unrestricted priority over all creditors. The three rights concern different payments and parties, and relevant court, contract and state-law requirements need review.

Hypothetical business example

Hypothetical: A partnership agreement is rescinded after proven misrepresentation by another partner. The affected party separates the entry purchase and capital, sums paid toward firm debts, and the indemnity claim against the responsible partner when preparing the financial account.

Practical decision flow

Establish the rescission ground, entitlement and relevant parties without relying solely on a disputed allegation.

Separate share-purchase sums, contributed capital and payments toward firm debts, and identify remaining assets after debts.

Assess the distinct retention, creditor and indemnity rights with any other available remedies.

Check the applicable state law

This guide explains the central Section 52 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.
