Statutory text

Bare law

(1) Where the partnership is at will, the firm may be dissolved by any partner giving notice in writing to all the other partners of his intention to dissolve the firm.

(2) The firm is dissolved as from the date mentioned in the notice as the date of dissolution or, if no date is so mentioned, as from the date of the communication of the notice.

Introduction

Only a partnership at will can use Section 43’s dissolution-by-notice mechanism. A partner must give written notice of an intention to dissolve to all the other partners.

The firm dissolves on the date stated in the notice or, if no date is stated, when the notice is communicated.

Key takeaways

1

Eligibility

Confirm that the firm is a partnership at will under Section 7.

2

Written notice

Give the notice to every other partner.

3

Effective date

Use the notice date if specified, otherwise communication date.

Notice checklist

Confirm the deed has no fixed duration or agreed method of determination.

State the intention to dissolve clearly and give written notice to all other partners.

Record delivery and the effective date, then address winding up and third-party notice separately.

Illustration

If an at-will partner’s written notice reaches all other partners on 10 October and names 31 October as dissolution date, Section 43(2) uses the stated date.

Check deed and state law

Check the partnership deed, the firm’s at-will status and any applicable state amendment before sending a dissolution notice under this central provision.

Practical checklist

Do

  • Keep proof of written communication to every partner.
  • Coordinate accounts and public notice under the relevant later sections.

Avoid

  • Do not rely on Section 43 for a fixed-term firm without first checking the contract and the Act.
