Statutory text

Bare law

If a company or an officer of a company commits an offence punishable either with fine or with imprisonment and where the same offence is committed for the second or subsequent occasions within a period of three years, then, that company and every officer thereof who is in default shall be punishable with twice the amount of fine for such offence in addition to any imprisonment provided for that offence.

Introduction

Section 451 applies to offences, which are prosecuted in court. Repeated defaults that attract civil penalties adjudged by an adjudicating officer are dealt with separately by section 454A.

Section 451 commenced on 12 September 2013 under S.O. 2754(E). The India Code consolidated text shows no amendment, and the text matches the 2013 Gazette.

Key takeaways

1

Same offence within three years

The section applies when the same offence is committed on a second or later occasion within three years.

2

Twice the fine

The company and every officer in default are punishable with twice the fine for that offence.

3

Imprisonment unaffected

The doubled fine is in addition to any imprisonment provided for the offence.

When it applies

The section applies where a company or an officer of a company commits an offence punishable with fine or with imprisonment, and the same offence is committed for the second or a later time within a period of three years.

Consequence

The company and every officer of it who is in default are punishable with twice the amount of fine for the offence, in addition to any imprisonment provided for it.

Section 451 and section 454A

Section 451 concerns offences punishable with fine or imprisonment. Section 454A, inserted in 2019, concerns defaults that attract penalties adjudged by an adjudicating officer or Regional Director. It doubles the penalty for a default repeated within three years of the penalty order. Check which kind of consequence the relevant provision carries.

Practical preparation

Keep a register of past prosecutions, compounding and penalty orders; diarise the three-year window for each; fix the underlying compliance gap so the same offence does not recur; brief new officers on the company’s compliance history.

Practical checklist

Do

  • Track each prior offence and the date it was committed.
  • Fix process weaknesses after any prosecution or compounding.

Avoid

  • Do not treat a repeat offence as routine; the fine doubles.
  • Do not confuse section 451 (offences) with section 454A (penalties).

Illustrative example

Hypothetical: the same offence twice

A company is convicted of an offence punishable with fine. Two years later the same offence is committed again.

  1. Repeat

The same offence is committed again within three years.

  2. Consequence

The company and every officer in default are punishable with twice the fine for that offence.

  3. Prevention

The board assigns responsibility for the compliance and adds a monitoring step.

Outcome

  • Fixing the process after the first offence would have avoided the doubled fine.

Glossary

Officer in default
An officer of the company responsible for the default, as the term is used throughout the Act.
