Statutory text

Bare law

(1) The Board of Directors of a company shall be entitled to exercise all such powers, and to do all such acts and things, as the company is authorised to exercise and do: Provided that in exercising such power or doing such act or thing, the Board shall be subject to the provisions contained in that behalf in this Act, or in the memorandum or articles, or in any regulations not inconsistent therewith and duly made thereunder, including regulations made by the company in general meeting: Provided further that the Board shall not exercise any power or do any act or thing which is directed or required, whether under this Act or by the memorandum or articles of the company or otherwise, to be exercised or done by the company in general meeting. (2) No regulation made by the company in general meeting shall invalidate any prior act of the Board which would have been valid if that regulation had not been made. (3) The Board of Directors of a company shall exercise the following powers on behalf of the company by means of resolutions passed at meetings of the Board, namely:— (a) to make calls on shareholders in respect of money unpaid on their shares; (b) to authorise buy-back of securities under section 68; (c) to issue securities, including debentures, whether in or outside India; (d) to borrow monies; (e) to invest the funds of the company; (f) to grant loans or give guarantee or provide security in respect of loans; (g) to approve financial statement and the Board's report; (h) to diversify the business of the company; (i) to approve amalgamation, merger or reconstruction; (j) to take over a company or acquire a controlling or substantial stake in another company; (k) any other matter which may be prescribed: Provided that the Board may, by a resolution passed at a meeting, delegate to any committee of directors, the managing director, the manager or any other principal officer of the company or in the case of a branch office of the company, the principal officer of the branch office, the powers specified in clauses (d) to (f) on such conditions as it may specify: Provided further that the acceptance by a banking company in the ordinary course of its business of deposits of money from the public repayable on demand or otherwise and withdrawable by cheque, draft, order or otherwise, or the placing of monies on deposit by a banking company with another banking company on such conditions as the Board may prescribe, shall not be deemed to be a borrowing of monies or, as the case may be, a making of loans by a banking company within the meaning of this section. Explanation I.—Nothing in clause (d) shall apply to borrowings by a banking company from other banking companies or from the Reserve Bank of India, the State Bank of India or any other banks established by or under any Act. Explanation II.—In respect of dealings between a company and its bankers, the exercise by the company of the power specified in clause (d) shall mean the arrangement made by the company with its bankers for the borrowing of money by way of overdraft or cash credit or otherwise and not the actual day-to-day operation on overdraft, cash credit or other accounts by means of which the arrangement so made is actually availed of. (4) Nothing in this section shall be deemed to affect the right of the company in general meeting to impose restrictions and conditions on the exercise by the Board of any of the powers specified in this section.

Introduction

Subsection (3) lists powers that the Board must exercise by resolutions passed at Board meetings. They are: making calls on unpaid share money; authorising buy-back under section 68; issuing securities; borrowing; investing funds; granting loans, giving guarantees or providing security; approving the financial statement and Board's report; diversifying the business; approving amalgamation, merger or reconstruction; taking over a company or acquiring a controlling or substantial stake; and other prescribed matters.

The Board may delegate the powers in clauses (d) to (f), which cover borrowing, investing and lending, to a committee of directors, the managing director, the manager or another principal officer. The delegation must be by a resolution at a meeting and may carry conditions. Explanations deal with banking companies and arrangements with bankers.

Key takeaways

1

General power

The Board can do what the company is authorised to do, within the limits set by the Act, the constitution and general meetings.

2

Meeting-only powers

The matters in subsection (3) must be decided by resolutions passed at Board meetings.

3

Delegation

Borrowing, investment and lending powers may be delegated on conditions, by a resolution passed at a meeting.

Confirm the Board has the power

Check that the company itself is authorised to do the act. Then check the limits in the Act, the memorandum, the articles and any valid general-meeting regulations. The Board cannot exercise a power that the Act, the memorandum or articles, or anything else requires to be exercised by the company in general meeting. A later general-meeting regulation does not invalidate an earlier Board act that was valid when it was done.

Use a Board meeting for subsection (3) matters

The powers in clauses (a) to (k) must be exercised by resolutions passed at meetings of the Board. Check whether any other matter has been prescribed under clause (k). Section 179 has not been amended since it commenced on 1 April 2014.

Delegate carefully

By a resolution passed at a meeting, the Board may delegate the borrowing, investment and lending powers in clauses (d) to (f). It may delegate them to a committee of directors, the managing director, the manager, another principal officer, or the principal officer of a branch office. The delegation may carry conditions. A banking company accepting deposits or placing deposits with another bank on Board-set conditions is not treated as borrowing or lending under this section.

Read the Explanations

Explanation I excludes from clause (d) borrowings by a banking company from other banking companies, the Reserve Bank of India, the State Bank of India or other banks established under any Act. Explanation II treats the borrowing power in dealings with bankers as the arrangement for overdraft, cash credit or similar facilities, not the day-to-day operation of those accounts.

Check class-specific exemptions

The MCA e-book for the Act lists exemption or modification notifications under this section for Section 8 companies and Specified IFSC public and private companies. Read the current notification before applying the general rule to those companies.

Practical preparation

Check the company's own authority; check for matters reserved to the general meeting; pass subsection (3) resolutions at a Board meeting; record the terms of any delegation of clauses (d) to (f); check for restrictions imposed by the general meeting under subsection (4).

Practical checklist

Do

  • Minute subsection (3) decisions as resolutions passed at a Board meeting.
  • State the limits and conditions in every delegation resolution.

Avoid

  • Do not exercise powers reserved to the general meeting.
  • Do not delegate powers outside clauses (d) to (f) under the first proviso.

Illustrative example

Hypothetical: delegating treasury investments

A Board wants its finance committee to invest surplus funds within set limits.

  1. Resolve

Pass a resolution at a Board meeting delegating the clause (e) power to the committee.

  2. Condition

Specify the limits and types of investment in the resolution.

  3. Cross-check

Check section 186 limits and any general-meeting restrictions.

Outcome

  • The committee may invest within the delegated conditions. The Board keeps the power to revise the delegation.

Glossary

Principal officer
An officer to whom the Board may delegate the powers in clauses (d) to (f), including the principal officer of a branch office.
Restriction by general meeting
Under section 179(4), the company in general meeting may restrict or attach conditions to the Board's powers.

Frequently asked questions

Must borrowing be approved at a Board meeting?

Yes. Borrowing is in clause (d), so it is exercised by a resolution at a Board meeting, though the Board may delegate it on conditions. Separate limits may apply under section 180.

Can shareholders restrict the Board's powers?

Yes. Section 179(4) preserves the general meeting's right to impose restrictions and conditions on the Board.
