Introduction

Section 129 sets the content standard for a company’s financial statements and requires the Board to lay them before every annual general meeting. Sectoral companies whose statements are prescribed under their own Acts are carved out of the Schedule III form.

The Companies (Amendment) Act, 2017 substituted sub-section (3) from 7 May 2018: consolidation now expressly covers associate companies and must follow applicable accounting standards. The former Explanation, which treated associates and joint ventures as subsidiaries for consolidation, fell away with that substitution.

Key takeaways

1

Three requirements

True and fair view, compliance with notified accounting standards, and the Schedule III form applicable to the class of company.

2

Consolidation

A company with one or more subsidiaries or associate companies prepares a consolidated financial statement in the same form, lays it at the AGM and attaches a salient-features statement.

3

Disclose deviations

If statements do not comply with accounting standards, disclose the deviation, the reasons and its financial effects.

Content standard and form

Section 129(1) requires financial statements to give a true and fair view of the state of affairs of the company or companies, comply with the accounting standards notified under section 133 and be in the form provided for the relevant class in Schedule III. Items must be in accordance with the accounting standards.

The Schedule III form does not apply to insurance or banking companies, electricity generation or supply companies, or any other class for which a form is specified in or under its governing Act. Their statements are not treated as lacking a true and fair view merely because they omit matters their own Acts do not require.

Laying at the annual general meeting

At every annual general meeting, the Board of Directors must lay the financial statements for the financial year before the meeting. Under the Explanation at the end of the section, a reference to the financial statement includes the notes annexed to or forming part of it.

Consolidated financial statement

Where a company has one or more subsidiaries or associate companies, it must also prepare a consolidated financial statement of the company and all its subsidiaries and associate companies, in the same form and manner as its own and in accordance with applicable accounting standards, and lay it at the AGM with its own statements.

The company must attach a separate statement of the salient features of the financial statements of its subsidiaries and associate companies in the prescribed form. The Act’s provisions on preparing, adopting and auditing a holding company’s statements apply mutatis mutandis to the consolidated statement.

Deviations, exemptions and default

If the statements do not comply with accounting standards, the company must disclose the deviation, the reasons and any resulting financial effects. The Central Government may, by notification in the public interest, exempt any class of companies from requirements of the section or its rules, with or without conditions.

On contravention, the managing director, the whole-time director in charge of finance, the Chief Financial Officer or any other person charged by the Board, and in their absence all the directors, are punishable with imprisonment up to one year, or fine of fifty thousand to five lakh rupees, or both. Section 129(7) was not changed by the 2020 amendments.

Practical preparation

Identify the applicable accounting standards and Schedule III division; check whether a sectoral Act prescribes the form; list subsidiaries and associate companies for consolidation; prepare the salient-features statement; record and disclose any departure from standards; check for a notified exemption; place both standalone and consolidated statements before the AGM.

Practical checklist

Do

  • Map every subsidiary and associate company before the year-end close.
  • Explain any accounting-standard departure with its reasons and financial effect.
  • Assign by Board resolution the person charged with section 129 compliance.

Avoid

  • Do not omit associate companies from consolidation after 7 May 2018.
  • Do not apply the Schedule III form to a company whose form is specified under its own governing Act.
  • Do not treat notes to accounts as outside the financial statement.

Illustrative example

Hypothetical: first associate company

A company with no subsidiaries acquires a stake that makes another company its associate company during the year.

  1. Scope

Recognise that section 129(3) now requires a consolidated financial statement including the associate company.

  2. Prepare

Prepare the consolidated statement in the same form as the standalone statements and in accordance with applicable accounting standards.

  3. Lay and attach

Lay both statements at the AGM and attach the salient-features statement in the prescribed form.

Outcome

  • The company meets section 129 only if the consolidated statement and salient-features statement accompany its own statements.
