Statutory text

Bare law

A holder of a negotiable instrument who derives title from a holder in due course has the rights thereon of that holder in due course.

Key rule and applicability

The key link is derivation of title through the qualifying holder. Establish that predecessor’s holder-in-due-course status and the chain by which the present holder obtained title.

Limits and related provisions

Do not treat mere physical possession or an unsupported assertion about a predecessor as proof of the statutory conditions. The provision transfers the rights of the identified qualifying holder; the actual title chain remains important.

Hypothetical business example

Hypothetical: a financier receives a bill through an earlier holder claimed to be a holder in due course. It retains evidence of that predecessor’s acquisition and its own transfer chain before relying on section 53.

Practical decision flow

Identify the predecessor said to be a holder in due course.

Assess that status using section 9 and the relevant evidence.

Document how the claimant derives title through the predecessor.
