Statutory text
Bare law
The holder of a negotiable instrument indorsed in blank may, without signing his own name, by writing above the indorser’s signature a direction to pay to any other person as indorsee, convert the indorsement in blank into an indorsement in full; and the holder does not thereby incur the responsibility of an indorser.
Applicability and limits
The holder of an instrument indorsed in blank may write a direction above the indorser’s signature to pay a specified person or their order.
This conversion does not require the holder’s additional signature and does not, by itself, make that holder an indorser.
Hypothetical example
Hypothetical: a bearer-like instrument has a blank indorsement. A holder writes a named transferee above the signature and documents the change.
Evidence and decision flow
Confirm an existing blank indorsement.
Write the intended named payee/order direction above that signature.
Preserve the instrument showing the alteration and transfer.
Practical checklist
Do
- Verify that the existing indorsement is truly in blank.
- Record the named indorsee clearly above the prior signature.
- Preserve the original instrument showing the sequence of writings.
Avoid
- Do not treat the instrument label alone as conclusive; check the signed wording and related statutory conditions.
Glossary
- Blank indorsement
- An indorsement without a specified indorsee.
- Indorsement in full
- An indorsement directing payment to a named person or their order.
