What is DIN surrender?
DIN surrender (or deactivation) is the process of voluntarily surrendering a Director Identification Number to the Ministry of Corporate Affairs (MCA) through Form DIR-5, under Section 155 of the Companies Act, 2013. It is done when a person has resigned from all director positions and has no intention of becoming a director again.
DIN can also be deactivated involuntarily by MCA for non-compliance - most commonly, failure to complete DIR-3 KYC by 30 September each year. In such cases, the DIN is marked as 'Deactivated' and the person cannot be appointed as a director until the DIN is re-activated (which requires KYC completion and payment of penalties).
Voluntary DIN surrender is the clean exit. Once surrendered, the DIN is permanently cancelled and cannot be reused or reactivated. If the person wishes to become a director again, they must apply for a new DIN. This is why voluntary surrender should be a considered decision.

Confirm no remaining directorships
Before filing Form DIR-5, verify on the MCA portal (MCA21) that you have no active directorships. If you do, resign from those companies first using Form DIR-11. DIN surrender requires zero active directorships.

The multi-DIN policy: one person, one DIN
- You can have only one DIN. Under Section 153 of the Companies Act, 2013, one DIN is allotted per person. Surrendering DIN while still a director
Form DIR-5 requires a declaration that you have zero active directorships. If you are still a director of any company, MCA will reject the surrender. Resign from all companies first using Form DIR-11, then apply for DIN surrender.
Surrendering DIN when you might need it again
Surrender is permanent - you cannot reactivate a surrendered DIN. If there is any chance you will become a director again, do not surrender. Simply remain inactive; your DIN stays valid without annual KYC until you need it again.
Confusing MCA deactivation with voluntary surrender
If your DIN was deactivated by MCA (for missed KYC), do NOT file Form DIR-5. Instead, complete DIR-3 KYC and pay any applicable late fee to reactivate. Form DIR-5 is only for voluntary, permanent exit.
Not checking for remaining directorships before filing
