Introduction

Scope is the first compliance question. Rule 2 covers goods and services bought or sold over a digital or electronic network, including digital products, and reaches both marketplace and inventory commerce models.

An entity outside India can still be covered if it systematically offers goods or services to consumers in India. The rule's personal-capacity proviso is narrow and turns on whether the natural person's activity is part of a regular or systematic professional or commercial activity.

Key takeaways

Both platform models are covered

Marketplace and inventory e-commerce models are expressly included. Later rules impose different duties on operators and sellers.

Digital products count

The scope covers goods and services bought or sold through a digital or electronic network, expressly including digital products.

Location is not conclusive

A foreign-established e-commerce entity that systematically offers to Indian consumers can fall within rule 2(2).

Map the product and sales channel

List the goods, services and digital products offered or sold over the online channel. Rule 2(1)(a) is expressed broadly; do not assume a digital service falls outside merely because it is intangible.

Classify the operating model

Identify whether the business owns inventory and sells directly or provides a marketplace connecting buyers and sellers. Rule 2(1)(b) includes both models, while rules 5, 6 and 7 allocate different role-specific duties.

Check the personal-activity proviso

The proviso excludes an activity of a natural person carried out in a personal capacity if it is not part of a regular or systematic professional or commercial activity. Apply that wording to actual frequency and purpose rather than relying on a casual label.

Check cross-border reach

Rule 2(2) extends to an e-commerce entity not established in India that systematically offers goods or services to consumers in India. Review targeting, customer base and sales practices before deciding the rules do not apply.

Practical checklist

Do

  • Record all online sales channels and goods or services offered.
  • Identify marketplace, inventory and seller roles separately.
  • Assess regularity of any claimed personal-capacity activity.
  • Review India-facing offers even when the operator is abroad.

Avoid

  • Do not assume a foreign entity is exempt solely because it lacks an Indian establishment.
  • Do not treat occasional personal resale and systematic commercial sales as the same activity.
