Statutory text

Bare law

Nothing in this Act or any repeal effected thereby shall affect or be deemed to affect—

(a) any right, title, interest, obligation or liability already acquired, accrued or incurred before the commencement of this Act, or

(b) any legal proceeding or remedy in respect of any such right, title, interest, obligation or liability, or anything done or suffered before the commencement of this Act, or

(c) anything done or suffered before the commencement of this Act, or

(d) any enactment relating to partnership not expressly repealed by this Act, or

(e) any rule of insolvency relating to partnership, or

(f) any rule of law not inconsistent with this Act.

Central rule and applicability

The savings include pre-commencement rights, interests, obligations and liabilities, related remedies and proceedings, and earlier acts or things suffered. They also cover partnership enactments not expressly repealed by this Act, insolvency rules relating to partnership and rules of law consistent with the Act.

Limits and related provisions

This is not a universal permission to disregard a later amendment or choose whichever old law is more favourable. The commencement link, nature of the asserted right and consistency condition matter. Later legislation and its own repeal, commencement and savings provisions require separate examination.

Hypothetical business example

Hypothetical: a historical dispute concerns an obligation incurred before this Act commenced. The adviser identifies the obligation's accrual and the relevant remedy, then examines Section 74 alongside any later legislation, rather than assuming that the new Act automatically extinguished every earlier right.

Practical decision flow

Identify the right, liability, proceeding, earlier event or legal rule for which a saving is claimed.

Establish the relevant dates and match the matter to the precise Section 74 clause, including the consistency condition where applicable.

Check later enactments and their own savings before advising on the present enforceability of the historical position.

Check the applicable state law

This guide explains the central Section 74 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.

Practical checklist

Do

  • Identify the right, liability, proceeding, earlier event or legal rule for which a saving is claimed.
  • Establish the relevant dates and match the matter to the precise Section 74 clause, including the consistency condition where applicable.
  • Check later enactments and their own savings before advising on the present enforceability of the historical position.

Avoid

  • This is not a universal permission to disregard a later amendment or choose whichever old law is more favourable. The commencement link, nature of the asserted right and consistency condition matter. Later legislation and its own repeal, commencement and savings provisions require separate examination.

Glossary

Accrued right or liability
A right or liability already acquired or incurred at the relevant statutory time.
Savings provision
A provision preserving specified matters from the effects identified in its text.

Frequently asked questions

Does Section 74 preserve every old rule regardless of conflict?

No. Clause (f) expressly concerns rules of law not inconsistent with this Act, and each other clause has its own scope.

Can Section 74 be used to ignore later legislation?

Not automatically. Later enactments and their own commencement, repeal and savings rules must be considered.

Is Section 74 itself marked repealed because Section 73 is repealed?

No. They are distinct numbered provisions; Section 73's repeal marker should not be transferred to Section 74.
