Statutory text
Bare law
The unrepealed provisions of the Indian Contract Act, 1872 (9 of 1872), save in so far as they are inconsistent with the express provisions of this Act, shall continue to apply to firms.
Central rule and applicability
The Partnership Act does not operate in isolation from general contract law. Unrepealed provisions of the Indian Contract Act continue to apply to firms, except to the extent that they conflict with express provisions of the Partnership Act. Both the continuing provision and the alleged inconsistency need to be identified.
Limits and related provisions
This rule does not revive repealed Contract Act provisions or allow a general contract rule to override an inconsistent express partnership provision. Nor does it establish that every clause in a partnership deed is enforceable. State amendments and the particular agreement may need separate consideration.
Hypothetical business example
Hypothetical: Partners rely on a general contract principle while drafting a restriction on outside business. Their adviser compares that principle with the express partnership provisions concerning agreed restrictions rather than assuming one Act wholly excludes the other.
Practical decision flow
Identify the proposed Contract Act provision and confirm that it remains unrepealed.
Compare it with the express Partnership Act provision governing the issue.
Apply the continuing rule only to the extent it is consistent, and review the deed and applicable state law.
Check the applicable state law
This guide explains the central Section 3 baseline. State amendments, notifications and rules can affect its application. Confirm the law applicable to the firm's location and the relevant partnership agreement before acting.
