What is society registration in India?

Society registration is the process of forming a non-profit organisation under the Societies Registration Act, 1860. A society is a group of individuals who come together for a common charitable, social, or educational purpose. Upon registration, the society becomes a legal entity with its own identity - it can own property, enter into contracts, sue and be sued, and receive grants and donations in its own name.

The key requirements for society registration are: minimum 7 members (no upper limit), a memorandum of society (stating the name, objectives, and details of governing body members), bye-laws (governing the internal management), and registration with the Registrar of Societies in your state. The registration fee varies by state and is typically nominal.

We draft the memorandum and bye-laws, prepare all required documents, handle the filing with the Registrar, and follow up for registration certificate. We also guide you on post-registration compliance, including annual returns and society meetings.

प्रक्रिया

How society registration works

Society registration is a state-level process. Here is the step-by-step process.

  1. Name approval and memorandum

Choose a unique name for the society (cannot be similar to an existing society). We draft the Memorandum of Society containing: name of society, objects, names and addresses of governing body members (minimum 7), and the state of operation.

  2. Draft bye-laws

We draft comprehensive bye-laws covering: membership rules, governing body structure and powers, meeting procedures, financial management, audit requirements, amendment procedures, and dissolution process. Bye-laws are the constitution of the society.

  3. convene founding meeting

All 7+ members convene a founding meeting. The meeting discusses and approves the memorandum and bye-laws, elects the governing body (President, Secretary, Treasurer, and other members), and passes a resolution to register the society.

  4. File application with Registrar

We file the registration application with the Registrar of Societies in your state. The application includes: signed memorandum, bye-laws, consent letters from all governing body members, address proof, and the prescribed registration fee.

  5. Receive registration certificate

The Registrar verifies the documents and, if satisfied, issues the Society Registration Certificate. The certificate includes the society's registration number, date, and the Registrar's signature. This typically takes 15-30 days depending on the state.

Society registration is a state-level process, and requirements vary by state. Some states have online portals (e.g., Maharashtra's MAHAMITRA), while others require physical filing. The most common reason for rejection is an inadequate memorandum or improperly drafted bye-laws. We ensure both are comprehensive and compliant with your state's specific requirements.

फ़ायदे

Benefits of registering a society

Legal status

  • Separate legal identity - the society can own property, enter contracts, and sue or be sued in its own name
  • Perpetual succession - the society continues regardless of changes in members or governing body
  • Limited liability - members are not personally liable for the society's debts
  • Can receive grants, donations, and foreign contributions (subject to FCRA)

Tax benefits

  • 80G registration - donors get tax deduction on donations to the society(Income Tax Act, 1961, Section 80G)
  • 12A/12AB registration - exempts the society from income tax on its surplus
  • GST exemption for certain charitable activities
  • Stamp duty exemptions in several states for property transfers to societies

Grants and funding

  • Eligibility for government grants from central and state ministries (MSME, Social Justice, Women & Child Development, etc.)
  • Access to CSR funding from corporate companies (mandatory 2% CSR spend)
  • FCRA registration for receiving foreign contributions
  • Tax benefits for donors encourage larger contributions

Operational benefits

  • Structured governance - bye-laws provide clear rules for meetings, decisions, and dispute resolution
  • Governing body election process - democratic management
  • Can open a bank account in the society's name
  • Can employ staff and enter into service contracts

Memorandum of Society and Bye-laws - the two most important documents

  • The Memorandum of Society (MoS) is the founding document. The MoS states the name of the society, its objects (what it aims to achieve), the names, addresses, and occupations of the governing body members, and the state in which it operates. The MoS must be signed by all founding members and is filed with the Registrar. It cannot be easily amended later.
  • Bye-laws are the constitution of the society. Bye-laws govern the day-to-day management of the society - membership rules, how the governing body functions, how meetings are conducted, how finances are managed, how new members are admitted, and how disputes are resolved. Unlike the MoS, bye-laws can be amended by a general body resolution if the existing bye-laws provide for it.
  • Get the objects clause right the first time. The objects clause in the MoS defines what your society can legally do. Being too narrow restricts future activities; being too broad can invite scrutiny from the Registrar. We draft a well-structured objects clause that covers your current activities and leaves room for future expansion without being overly broad.
