What is DIN surrender?

DIN surrender (or deactivation) is the process of voluntarily surrendering a Director Identification Number to the Ministry of Corporate Affairs (MCA) through Form DIR-5, under Section 155 of the Companies Act, 2013. It is done when a person has resigned from all director positions and has no intention of becoming a director again.

DIN can also be deactivated involuntarily by MCA for non-compliance - most commonly, failure to file director KYC by its rule 12A due date (once every three years from 31 March 2026). In such cases, the DIN is marked as 'Deactivated' and the person cannot be appointed as a director until the DIN is re-activated (which requires KYC completion and payment of penalties).

Voluntary DIN surrender is the clean exit. Once surrendered, the DIN is permanently cancelled and cannot be reused or reactivated. If the person wishes to become a director again, they must apply for a new DIN. This is why voluntary surrender should be a considered decision.

DIN surrender vs DIN deactivation: voluntary vs MCA action

There are two paths to DIN being marked as inactive - voluntary surrender and government deactivation. They have different implications.

पात्रता

When should you surrender your DIN?

DIN surrender is appropriate in specific situations. Here is when to consider it and when not to.

  • You have resigned from all companies and do not plan to become a director again
  • You have retired from active business and want a clean record
  • You hold multiple DINS (multi-DIN situation) and want to surrender extras
  • You want to ensure no one can misuse your DIN if your credentials are compromised

Common reasons for DIN surrender

Retirement / exit

  • Retired professionals leaving boards
  • Founders who have sold their companies
  • Nominee directors whose tenure has ended

Cleanup

  • Persons with multiple DINS (duplicate applications)
  • Individuals who applied for DIN but never became a director

Security

  • DIN holders whose identity was compromised
  • Directors who lost their DIN token and want to prevent misuse

कौन पात्र नहीं है

  • If you plan to become a director again even once - do NOT surrender. Reactivating a surrendered DIN is not possible; you must get a new one.
  • If your DIN was deactivated by MCA for KYC non-compliance - do not surrender. Instead, complete KYC to reactivate.

प्रक्रिया

How DIN surrender works

DIN surrender is filed through Form DIR-5 on the MCA portal. The process is straightforward but should be done only after confirming you have no remaining directorships.

  1. Confirm no remaining directorships

Before filing Form DIR-5, verify on the MCA portal (MCA21) that you have no active directorships. If you do, resign from those companies first using Form DIR-11. DIN surrender requires zero active directorships.

  2. Prepare Form DIR-5

We fill Form DIR-5 on the MCA portal with your DIN, personal details, and a declaration that you have no remaining directorships and do not intend to become a director again. Attach PAN, identity proof, and resignation proof.

  3. Submit on MCA portal

Form DIR-5 is submitted on the MCA portal (mca.gov.in). There is no government fee for voluntary DIN surrender. DSC of the DIN holder or a professional (CA/CS) is required to sign the form.

  4. MCA processing and DIN cancellation

MCA processes Form DIR-5 and marks the DIN as 'Surrendered' in its records. Processing typically takes 15-30 working days. Once cancelled, the DIN cannot be reactivated or reused.

DIN surrender is irreversible. Once surrendered, the DIN is permanently cancelled and cannot be reused. If you ever want to become a director again, you must apply for a new DIN. We recommend waiting until you are certain - for most people, simply being inactive is sufficient.

फ़ायदे

Benefits of surrendering DIN (when appropriate)

Clean record

  • Permanent exit from directorship records - no ongoing compliance (DIR-3 KYC) required for surrendered DIN
  • No risk of misuse of your DIN by fraudulent appointments - once surrendered, it cannot be reactivated or reused

Compliance hygiene

  • Avoids MCA notices for missed KYC filings on DINS you no longer need
  • Eliminates confusion from having multiple DINS (multi-DIN scenario)

Security

  • If your identity documents were compromised, surrendering DIN prevents misuse of your credentials for fraudulent directorships

The multi-DIN policy: one person, one DIN

  • You can have only one DIN. Under Section 153 of the Companies Act, 2013, one DIN is allotted per person. If you inadvertently applied for and received multiple DINS (e.g., using different names or documents), you must surrender the extras using Form DIR-5. MCA maintains a master DIN database and cross-references applications against it.
  • How to check if you have multiple DINS. Log into the MCA portal with your PAN and check the 'Director Information' section. If you see more than one DIN linked to your PAN, you should surrender the extras to maintain compliance with the one-DIN policy.
  • Surrender extras, keep one. If you have multiple DINS, keep the one that is linked to your current directorships. Surrender the extras through separate Form DIR-5 submissions. This is a common cleanup task for long-time professionals who have been directors across many companies over the years.

अक्सर होने वाली गलतियाँ

Common DIN surrender mistakes

Surrendering DIN while still a director

Form DIR-5 requires a declaration that you have zero active directorships. If you are still a director of any company, MCA will reject the surrender. Resign from all companies first using Form DIR-11, then apply for DIN surrender.

Surrendering DIN when you might need it again

Surrender is permanent - you cannot reactivate a surrendered DIN. If there is any chance you will become a director again, do not surrender. Simply remain inactive and keep your DIN KYC current (once every three years under rule 12A).

Confusing MCA deactivation with voluntary surrender

If your DIN was deactivated by MCA (for missed KYC), do NOT file Form DIR-5. Instead, complete DIR-3 KYC and pay any applicable late fee to reactivate. Form DIR-5 is only for voluntary, permanent exit.

Not checking for remaining directorships before filing

Always check your director status on the MCA portal before filing Form DIR-5. An outstanding directorship will cause rejection. It is also a good practice to check Form 26AS for any outstanding TDS obligations tied to your directorship.
