Non-compete and non-solicitation agreement for Bizeneed employees and partners. This document outlines the scope of restrictions, duration, compensation, and enforceability provisions.
Scope
This Non-Compete Agreement is entered into between Bizeneed India Private Limited (the "Company") and its employees, partners, and contractors (the "Bound Party"). The Bound Party agrees that during their association with the Company and for a specified period thereafter, they shall not engage in any business or activity that competes directly with the Company's core business offerings. The scope of competition includes any business providing company registration, GST compliance, trademark and IP services, legal compliance, CA advisory services, or any other services offered by Bizeneed within India or in markets where Bizeneed operates.

Restrictions
During the restriction period, the Bound Party shall not: directly or indirectly own, manage, operate, control, or participate in any business that competes with Bizeneed; solicit, recruit, or hire any Bizeneed employee, contractor, or partner; solicit, divert, or accept business from any Bizeneed client or prospective client with whom the Bound Party had material contact during their association; use Bizeneed's confidential information, trade secrets, or proprietary knowledge for competitive purposes; or represent themselves as affiliated with Bizeneed in any competitive capacity.

- No providing services to Bizeneed competitors in a consulting or advisory role
Duration
The non-compete restrictions shall apply during the period of employment or association with Bizeneed and shall continue for a period of 12 months following the termination or expiration of the association (the "Restriction Period"). For senior management and key personnel, the restriction period may be extended to 24 months as specified in the individual agreement. The non-solicitation restrictions regarding clients shall apply for 24 months following termination, regardless of the non-compete duration. Restriction periods may be reduced by mutual written agreement.

Compensation
In consideration of the restrictions imposed by this Agreement, Bizeneed shall provide compensation to the Bound Party as follows: during the employment period, compensation is included in the regular salary and benefits package; during the restriction period for non-compete obligations, the Bound Party shall receive compensation as specified in the individual agreement, which shall not be less than 50% of the last drawn basic salary for a period up to 12 months. Non-solicitation restrictions are provided as part of the employment consideration and do not require additional compensation.

Enforceability
The parties acknowledge that the restrictions in this Agreement are reasonable and necessary to protect Bizeneed's legitimate business interests, including its goodwill, client relationships, and confidential information. If any provision of this Agreement is found by a court to be unreasonable, overly broad, or unenforceable, the court is authorized to modify the provision to the minimum extent necessary to make it reasonable and enforceable. The parties agree that a breach of this Agreement would cause irreparable harm to Bizeneed that cannot be adequately compensated by monetary damages, and Bizeneed shall be entitled to seek injunctive relief in addition to other remedies.
