Statutory text

Bare law

(1) This Act may be called the Limited Liability Partnership Act, 2008.

(2) It extends to the whole of India.

(3) It shall come into force on such date as the Central Government may, by notification in the Official Gazette, appoint:

Provided that different dates may be appointed for different provisions of this Act and any reference in any such provision to the commencement of this Act shall be construed as a reference to the coming into force of that provision.

Introduction

The section identifies the Act and its reach. Its commencement provision permits different provisions to begin on different notified dates, so a question about an earlier event requires the commencement notification for the particular provision.

Key takeaways

1

Short title

The statute is called the Limited Liability Partnership Act, 2008.

2

Extent

The Act extends to the whole of India.

3

Notified commencement

The Central Government appoints commencement dates by Gazette notification and may appoint different dates for different provisions.

Identify the statute

Use the statutory short title when citing the LLP Act. The year in the title is 2008, even though the Act was enacted in 2009.

Check territorial reach

Sub-section (2) extends the Act to the whole of India.

Find the relevant commencement date

For a historical transaction or default, locate the Official Gazette notification applicable to the specific provision. The proviso allows more than one commencement date across the Act.

Practical checklist

Do

  • Cite the Act by its short title and the applicable section.
  • Check the commencement notification when assessing events near a provision's effective date.

Avoid

  • Do not infer a provision's commencement date solely from the year in the Act's title.
  • Do not assume every provision commenced on one date.

Illustrative example

Hypothetical: checking an earlier filing obligation

An LLP asks whether a particular statutory filing requirement applied on a date shortly after the Act was enacted.

  1. Identify the provision

Find the section creating the filing requirement.

  2. Check commencement

Check the Central Government's Gazette notification for that section and compare its effective date with the filing event.

Outcome

  • Section 1 requires the provision-specific commencement date to be checked before applying that requirement to the earlier event.

Glossary

Official Gazette
The official publication used for the Central Government's commencement notification under this section.
Commencement
