Statutory text
Bare law
This Act may be called the Indian Contract Act, 1872.
Extent, Commencement.—It extends to the whole of India ***; and it shall come into force on the first day of September, 1872.
Saving—*** Nothing herein contained shall affect the provisions of any Statute, Act or Regulation not hereby expressly repealed, nor any usage or custom of trade, nor any incident of any contract, not inconsistent with the provisions of this Act.
Rule and business relevance
The savings preserve other statutes not expressly repealed, trade usage or custom and contractual incidents so far as they are not inconsistent with this Act. The former Jammu and Kashmir exclusion was removed with effect from 31 October 2019 by the amendment noted in the official consolidation.
Limits and related provisions
This Act does not replace every law governing a business transaction. Property, registration, company, consumer and sector-specific requirements may operate alongside it. State amendments and the relevant date must also be checked; a claimed custom cannot simply override an inconsistent Act provision.
Hypothetical business example
Hypothetical: a business relies on a trade custom to explain delivery arrangements. It checks whether the custom is established and consistent with the Act and whether another applicable statute imposes additional requirements.
Practical decision flow
Identify the transaction, relevant location and date before selecting the applicable legal framework.
Read the Contract Act together with other governing statutes and any applicable State amendment.
If relying on custom or a contractual incident, establish it and test consistency with the Act.
Check the applicable legal framework
This guide explains the central provision. Applicable State amendments, the agreement, transaction date and other governing laws can affect its application. Check the current legal framework before relying on it for a commercial decision.
