Indemnification Policy

Both Bizeneed India Private Limited and its users agree to indemnify, defend, and hold harmless the other party from and against any and all claims, damages, losses, costs, and expenses arising from or related to a breach of this agreement, violation of applicable law, or infringement of third-party rights. This mutual indemnification obligation is a fundamental term of the relationship between Bizeneed and its users, ensuring shared responsibility for protecting each other from third-party claims.

• Both parties indemnify each other against third-party claims arising from breach of agreement
• Indemnification covers direct damages, legal costs, and reasonable attorney fees
• Prompt written notice of any claim triggering indemnification obligations is required
• Indemnifying party has the right to control defense and settlement of covered claims
• Indemnification survives termination of the agreement for the applicable limitation period

The customer/user agrees to indemnify and hold harmless Bizeneed, its directors, officers, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses arising from or related to: the customer's use of services in violation of these terms or applicable law; any content, data, or materials submitted by the customer through the platform; infringement of any intellectual property right or violation of any right of a third party by the customer's use of services; and any breach of representation or warranty made by the customer.

• Use of services in violation of terms of service or applicable law
• Any content, data, or materials uploaded or submitted by the customer
• Infringement of intellectual property rights or violation of third-party rights
• Breach of any representation or warranty made by the customer
• Unauthorized access to or use of the customer's account credentials
• Any regulatory action arising from the customer's instructions or provided data

Bizeneed agrees to indemnify, defend, and hold harmless the customer from and against any and all third-party claims, damages, losses, costs, and expenses arising from or related to: Bizeneed's material breach of this agreement; Bizeneed's gross negligence or willful misconduct; Bizeneed's infringement of any third-party intellectual property right through its services; and any claim that the Bizeneed platform, when used as authorized and intended, infringes any valid patent, copyright, or trademark of a third party.

• Material breach of agreement by Bizeneed or its authorized representatives
• Gross negligence or willful misconduct by Bizeneed or its personnel
• Infringement of third-party intellectual property rights by Bizeneed's services
• Claims that the Bizeneed platform, when used as authorized, infringes valid third-party IP rights
• Bizeneed's obligation is subject to customer's prompt notification of any claim
• Bizeneed may settle claims at its own expense where it controls the defense

To be eligible for indemnification under this policy, the party seeking indemnification must: provide prompt written notice to the indemnifying party of any claim; grant the indemnifying party sole control of the defense and settlement of the claim; provide reasonable cooperation and assistance in the defense and settlement; not settle or compromise any claim without the prior written consent of the indemnifying party. Failure to provide timely notice shall not relieve the indemnifying party of obligations except to the extent such failure materially prejudices the defense.

• Provide prompt written notice of any claim upon becoming aware of it
• Grant the indemnifying party sole control of the defense and all related negotiations
• Provide all reasonable cooperation, information, and assistance requested
• Not admit liability or settle claims without prior written consent of indemnifying party
• Indemnifying party shall not accept any settlement that imposes obligations on the indemnified party without consent
• All indemnification payments shall be net of any insurance recoveries received
