What is a Producer Company?
A Producer Company is a special category of company incorporated under Section 465 of the Companies Act, 2013. It is designed primarily for producers of agricultural produce, livestock, or other primary produce. The objective is to enable producers to collectively process, market, and sell their produce while enjoying the benefits of a company structure - limited liability, perpetual succession, and access to credit.
Key features of a Producer Company: (1) Minimum 10 producer members (no maximum limit), (2) At least 2 directors (at least 1 must be a producer member), (3) Primary objects must relate to production, harvesting, processing, procurement, marketing, or sale of primary produce, (4) Cannot issue shares to non-producers beyond 49% of total share capital, (5) Dividend limited to 26% of profits.
Our CA/CS team has deep experience with Section 465 and the Producer Companies Rules, 2021. We handle the complete process - from checking eligibility and drafting Nidhi-specific MOA/AOA to filing with ROC and post-registration compliance setup.

प्रक्रिया
How Producer Company registration works
Producer Company registration follows the standard SPICe+ process with specific Section 465 requirements.
Eligibility verification
We verify that you have 10+ producer members willing to be shareholders, and that the proposed objects relate to primary produce. We also confirm at least 2 directors with 1 being a producer member.
Our CA team
Name approval (RUN form)
We file the RUN form with 'Producer Company Limited' as a mandatory suffix. ROC checks for name availability and Section 465 eligibility.
Our team
MOA & AOA drafting
Our CA drafts the MOA with specific objects related to primary produce: production, harvesting, processing, procurement, marketing, sale, and import/export of primary produce. The AOA includes Producer Company-specific governance clauses.
Our CA team
SPICe+ filing
We file SPICe+ with all required documents: MOA, AOA, director and member details, registered office proof, and producer member list.
Our team
Incorporation certificate
ROC issues the Certificate of Incorporation with CIN. The company is now a Producer Company under Section 465.
ROC
Post-incorporation setup
We set up the compliance calendar: first board meeting, auditor appointment, membership register, and annual Producer Company-specific filings.
Our team
The incorporation process is the same SPICe+ form used for any company. The difference is in the MOA/AOA drafting and the membership documentation. The hardest part is gathering 10+ producer members who are ready to be shareholders. We recommend starting the membership drive 1-2 months before filing.

फ़ायदे
Why register as a Producer Company?
Company benefits for producers
- Limited liability - producer members are not personally liable for company debts(Section 465, Companies Act, 2013)
- Perpetual succession - company continues regardless of member changes
- Access to equity - can raise funds through shares (up to 49% from non-producers)
Cooperative spirit
- Designed specifically for primary producers - not generic companies
- Producers collectively own and control the company
- Profits shared among producer members
Market access
- Can market and sell produce collectively - better bargaining power
- Can do value addition (processing, packaging) at scale
- Eligible for government schemes and subsidies for producer organisations
Tax advantages
- Domestic company tax rate of 25%
- Various deductions under the Income Tax Act
- Eligible for agricultural income exemptions where applicable
Producer Companies vs cooperatives - the key differences
- Producer Companies are companies, not cooperatives. While both serve producers, a Producer Company is incorporated under the Companies Act, 2013 (Section 465), while a cooperative society is registered under the Cooperative Societies Act of the respective state. The legal framework, compliance requirements, and dispute resolution mechanisms are different.
- Producer Companies can issue equity shares. Unlike cooperative societies that issue share certificates, Producer Companies can issue equity shares and raise equity capital (up to 49% from non-producers). This makes them more attractive for investors and easier to scale.
- The dividend cap is 26% of profits. Under Section 465(2), a Producer Company can distribute no more than 26% of its profits as dividend. The remaining profits must be retained for the company's growth and development. This ensures that the company reinvests in its producer members.
अक्सर होने वाली गलतियाँ
Common mistakes in Producer Company registration
Having fewer than 10 producer members
Gather at least 10 producer members before filing. Each member must provide PAN, Aadhaar, and a signed membership form. Start 1-2 months early.
Using generic MOA objects
The MOA must specifically mention primary produce activities. A generic 'trading' MOA will be rejected by ROC for a Producer Company.
Not naming the company correctly
The name MUST end with 'Producer Company Limited'. ROC rejects applications without this exact suffix.
Confusing Producer Company with FPO
An FPO (Farmer Producer Organisation) can be registered as a Producer Company, trust, or cooperative society. A 'Producer Company' specifically refers to the Section 465 company structure.
Not specifying producer membership in AOA
The AOA must include clauses specifying how producer members are admitted, their voting rights, and how profits are distributed.

सवाल-जवाब
अक्सर पूछे जाने वाले सवाल
A Producer Company is a special type of company incorporated under Section 465 of the Companies Act, 2013. It is designed for producers of agricultural produce, livestock, or other primary produce. Its objective is to enable producers to collectively process, market, and sell their produce while enjoying the benefits of a company structure.
A Producer Company requires a minimum of 10 producer members. There is no maximum limit on the number of members. At least 2 directors are required, and at least 1 director must be a producer member.
Any person who is a producer of primary produce can become a member. Primary produce includes agricultural produce (crops, horticulture), livestock products, fisheries, sericulture, and other products as notified by the central government. Non-producers can hold shares up to 49% of total share capital.
The primary objects must relate to production, harvesting, processing, procurement, marketing, sale, import, and export of primary produce. Specific permitted objects under Section 465 include: (1) Production and processing of primary produce, (2) Procurement and marketing of primary produce, (3) Providing technical services to members, (4) Insurance and credit services for members.
Under Section 465(2), a Producer Company can distribute no more than 26% of its profits as dividend to its members. The remaining 74% must be retained for the company's growth and development.
Yes, non-producers can hold shares in a Producer Company, but their total shareholding cannot exceed 49% of the total share capital. This ensures that producer members maintain control of the company.
A Producer Company is incorporated under the Companies Act, 2013 (Section 465) and is regulated by MCA. A cooperative society is registered under the Cooperative Societies Act of the respective state. Producer Companies can issue equity shares and raise equity capital, while cooperative societies cannot. Producer Companies have different compliance requirements and governance structures.
Yes, a Producer Company can accept deposits from its members. It can also accept deposits from non-members subject to compliance with the Companies Act provisions for accepting deposits (Section 73 and related rules).
A Producer Company must comply with: (1) Annual ROC filings (AOC-4, MGT-7, ADT-1), (2) DIR-3 KYC for directors, (3) Annual audit by a Chartered Accountant, (4) Producer-specific disclosures in the annual return, (5) Income tax return annually.
Yes. A cooperative society can convert to a Producer Company under Section 465. The conversion process involves: passing a special resolution, filing the required forms with ROC, and obtaining a new Certificate of Incorporation. We handle the complete conversion process.
Producer Companies are taxed at the domestic company rate of 25% (if turnover below ₹400 crore). Additionally, agricultural income (income from cultivation of land) is exempt from income tax under Section 10(1) of the Income Tax Act. Income from processing and marketing of agricultural produce is taxable as business income.
Yes. A Producer Company can open branches within the same state after 3 years of operations. Branches in other states require prior approval from the ROC. The company must maintain a net worth of at least ₹5 lakh before opening branches.
If a Producer Company's membership falls below 10, the ROC may direct the company to increase its membership within a specified period. If the company fails to comply, the ROC may initiate action to wind up the company. It is important to maintain at least 10 active members at all times.
Yes. The Central Government, State Government, or any financial institution can hold 100% of the shares of a Producer Company. This is particularly useful for government-sponsored producer organisations and FPOs.
The complete process takes approximately 15-25 working days: eligibility check (1-2 days), name approval (1-2 days), DIN/DSC (1-2 days), MOA/AOA drafting with Section 465 clauses (3-5 days), SPICe+ filing (2-3 days), and ROC processing (5-7 days).
