What is NGO registration in India?

NGO registration in India refers to the legal process of forming a non-governmental organisation (NGO) for charitable, social, educational, or environmental purposes. India provides three legal structures for NGOs: Trust (under the Indian Trusts Act, 1888 or state-specific trust acts), Society (under the Societies Registration Act, 1860), and Section 8 Company (under the Companies Act, 2013).

Each structure has different requirements, governance flexibility, compliance burden, and suitability. Trusts are ideal for family-based or single-family charitable activities with 2+ trustees. Societies are better for community-based organisations with 7+ members and democratic governance. Section 8 Companies are suitable for large NGOs that need higher credibility and plan to receive substantial government or international funding.

We help you choose the right structure, draft the required documents, file with the appropriate authority, and obtain registrations including 12A/12AB (income tax exemption), 80G (donor tax deduction), and FCRA (foreign contribution).

प्रक्रिया

How NGO registration works

The process varies by NGO type. Here is the overview for all three structures.

  1. Choose the right structure

We help you decide between Trust, Society, and Section 8 Company based on your team size, objectives, funding plans, and compliance appetite. This is the most important decision.

  2. Draft founding documents

Depending on the structure, we draft: (a) Trust deed, (b) Memorandum of Society and bye-laws, or (c) Memorandum and Articles of Association for Section 8. These documents define the NGO's purpose, governance, and management.

  3. Obtain Digital Signature Certificate (DSC)

For Section 8 Companies, all directors need a Class 3 DSC for MCA filing. For Trusts and Societies, DSC may be required depending on state requirements.

  4. File with registration authority

Trust: File with Sub-Registrar or Charity Commissioner. Society: File with Registrar of Societies. Section 8: File SPICe+ form with MCA. We handle the complete filing process.

  5. Obtain registration certificate

After verification, the authority issues the registration certificate: Trust Deed (for trusts), Society Registration Certificate (for societies), or Section 8 License + Incorporation Certificate (for Section 8).

  6. Apply for 12A/12AB and 80G

After registration, we apply for 12A/12AB (income tax exemption) and 80G (donor tax deduction) from the Income Tax Department. These registrations are essential for tax benefits and encouraging donations.

NGO registration is more complex than business registration because it involves multiple compliance layers - the structure registration, PAN, 12A/12AB, 80G, and possibly FCRA. Each has its own timeline and requirements. The biggest mistake is choosing the wrong structure early on. Switching from Trust to Section 8 later is possible but costly and time-consuming. Get the structure right the first time.

समय-सीमा

NGO registration timeline

Timelines vary by structure. Here is what to expect.

NGO registration timeline
चरणसमय
Structure selection and document drafting5-10 days
Trust: Registration with Sub-Registrar15-20 days
Society: Registration with Registrar of Societies15-30 days
Section 8: MCA incorporation20-30 days
PAN and bank account opening7-15 days
12A/12AB registration30-60 days
80G registration30-60 days (after 12A)
FCRA registrationAfter 3 years of operation

Structure registration: 15-30 days. 12A/12AB + 80G: 1-2 months. FCRA: only after 3 years of continuous operation. We recommend getting structure registration + 12A/12AB + 80G done together for a complete setup.

फ़ायदे

Benefits of NGO registration

Tax benefits for donors

  • 80G registration - donors get 50% or 100% tax deduction on donations to your NGO(Income Tax Act, 1961, Section 80G)
  • Section 80GGA - donations for social and rural development get 100% deduction without limit
  • Donors prefer registered NGOs - 80G is a major incentive for individual and corporate donors

Income tax exemption for the NGO

  • 12A/12AB registration - the NGO is exempt from paying income tax on its surplus income(Income Tax Act, 1961, Section 12A/12AB)
  • Surplus funds can be reinvested into the NGO's activities without tax leakage
  • Higher effective utilisation of donations - 100% of funds go to programmes

Government grants and CSR

  • Eligibility for government grants from ministries (Social Justice, Women & Child, Environment, etc.)
  • CSR funding - Indian companies must spend 2% of profits on CSR, and registered NGOs are preferred recipients(Companies Act, 2013, Section 135)
  • Access to international funding through UN agencies, foundations, and bilateral programmes

Legal and operational benefits

  • Separate legal identity - NGO can own property, enter contracts, and operate independently
  • Limited liability for trustees / governing body members
  • FCRA registration for receiving foreign contributions
  • Higher credibility and trust - donors and partners prefer registered NGOs

How to choose between Trust, Society, and Section 8

  • Choose a Trust if you are a small, family-based or community-level initiative. Trusts require only 2 trustees and offer high flexibility in governance. They are quicker to set up and have lighter compliance. The downside is lower public credibility compared to Societies and Section 8 Companies. Trusts are ideal for family charities, small community initiatives, and religious trusts.
  • Choose a Society if you have a team of 7+ members and want democratic governance. Societies offer a good balance of structure and flexibility. With 7+ members and a governing body, they provide democratic decision-making. Compliance is moderate. Societies are ideal for community organisations, educational initiatives, and medium-sized NGOs.
  • Choose a Section 8 Company if you plan to scale and need maximum credibility. Section 8 Companies are the most structured option - MCA-regulated with higher transparency requirements. They are preferred by large donors, CSR committees, government grants, and international funding agencies. The compliance burden is higher (annual returns, board meetings, accounts audit) but the credibility payoff is significant.

अक्सर होने वाली गलतियाँ

Common NGO registration mistakes

Choosing the wrong NGO structure

The structure decision is irreversible without cost. A Trust works for 2-6 people; a Society for 7+; Section 8 for organisations seeking large grants and international credibility. Spend time with our experts before deciding.

Vague or overly broad objects clause

The objects clause in your founding documents defines what your NGO can legally do. Being too vague invites scrutiny; being too narrow restricts future work. We draft a precise, comprehensive objects clause.

Not applying for 12A/12AB and 80G together

Apply for 12A/12AB and 80G immediately after registration. Without these, your NGO pays 30% tax on surplus and donors get no tax benefit - making fundraising very difficult.

Poor record-keeping

Maintain proper accounts from day one. Annual returns to the Registrar, income tax returns, and FCRA returns all require clean financial records. Set up accounting software and appoint an auditor early.

Using NGO funds for personal benefit

Any use of NGO funds for personal benefit is a criminal offence under the Income Tax Act and FCRA. Trustees/directors cannot use NGO property, vehicles, or funds for personal purposes. Keep strict separation.

ऊपर बताई गई हर गलती का हल है - और ज़्यादातर गलतियाँ पहली बार में ही सही जानकारी देकर टाली जा सकती हैं। बाद में सुधारने से आसान है कि पहली बार में ही सही किया जाए।
