What does 'NGO compliance' actually cover?
An NGO in India is registered under one of three structures - a Trust (under the applicable state Public Trusts Act or the Indian Trusts Act, 1882), a Society (under the Societies Registration Act, 1860 or its state amendments), or a Section 8 Company (under the Companies Act, 2013). Each structure has its own registering authority and its own annual filing obligations, but all three share a common thread: registration is not a one-time event. Every year there are returns to file, renewals to track, and records to maintain - and falling behind on any of them can jeopardise the tax exemptions and funding eligibility the NGO depends on.
'NGO Compliance' as we run it is an umbrella retainer that covers the recurring, ongoing obligations that apply after registration - income tax return filing (ITR-7) and the accompanying audit report (Form 10B or 10BB, depending on income level), NGO Darpan profile renewal with NITI Aayog (required for most government schemes and increasingly expected by corporate CSR donors), the FCRA annual return (Form FC-4) if the NGO receives foreign contributions, and renewal of 12A and 80G registration, which since 2021 are no longer permanent and must be renewed every five years.
This is distinct from one-off filings like the initial NGO registration itself, or Form CSR-1 (which registers an NGO as eligible to receive CSR funds - see our dedicated CSR-1 filing service). NGO Compliance is the ongoing retainer that keeps everything current so those earlier registrations and approvals stay valid and usable.
If you're specifically a Trust or Society (not a Section 8 Company) and want a page focused only on the trust-side calendar without the company/ROC angle, see our dedicated Trust Annual Compliance page - the two retainers cover overlapping ground but this page is the right starting point if you're not yet sure which entity type's rules apply to you, or if you're a Section 8 Company.

प्रक्रिया
How our NGO compliance retainer works
We onboard your NGO once, map every applicable deadline, and then run the filing calendar for you through the year.
Compliance mapping call
We review your entity type, 12A/80G status, FCRA status, and Darpan registration to build a year-specific list of exactly what's due and when - no generic checklist.
Document collection and gap check
We collect prior filings, financials, and registration certificates, and flag any lapsed or soon-to-expire approvals (like a 12A/80G renewal falling due) before they become a problem.
Books and audit coordination
We coordinate with your auditor (or our empanelled auditors) to get the financial statements and audit report (Form 10B/10BB) ready in time for the income tax return.
Filings and renewals
We prepare and file ITR-7, the NGO Darpan renewal, the FCRA annual return (FC-4) if applicable, and the 12A/80G renewal application when it falls due within the retainer year.
Board documentation support
We help draft board meeting minutes and resolutions for key decisions, keeping your minute book audit-ready and funder-ready.
Ongoing deadline tracking
Through the retainer year, we track upcoming due dates and reach out ahead of each one instead of waiting for you to ask.
Every filing under this retainer can technically be done by the NGO's own trustees or a part-time accountant. What a retainer buys you is someone actively tracking dates across four different systems (Income Tax, MCA/Registrar, NGO Darpan, FCRA) so nothing quietly lapses - losing 12A/80G status or FCRA registration due to a missed filing is far more expensive to fix than the retainer itself.

फ़ायदे
Why staying compliant matters for an NGO
Protects your tax status and legal standing
- Timely 12A renewal keeps the NGO's income tax exemption intact - lapsed 12A means the NGO's surplus becomes taxable
- Timely 80G renewal keeps donations to your NGO eligible for the donor's tax deduction, which directly affects fundraising
- Consistent FCRA returns keep foreign-funded NGOs in good standing and avoid registration suspension or cancellation
Keeps you fundable
- An active, renewed NGO Darpan profile is a prerequisite for many government schemes and is increasingly checked by corporate CSR teams before releasing funds
- A clean compliance history and up-to-date filings are among the first things institutional donors and CSR partners diligence before funding an NGO
Reduces risk to trustees and the board
- Well-documented board meetings and resolutions protect trustees/directors if a decision is ever questioned by a regulator, auditor, or donor
- Avoids last-minute scrambles and penalty interest that come from discovering a missed deadline after the fact
अक्सर होने वाली गलतियाँ
Common NGO compliance mistakes we see
Treating 12A/80G as a one-time, permanent registration
Since the 2021 regime change, both are valid for a fixed period (typically 5 years) and must be actively renewed - track the expiry date, don't wait for a reminder from the department.
Filing FC-4 only in years with foreign receipts
FCRA-registered entities must file the annual return even in a nil-receipt year - skipping it is treated as a lapse and can trigger scrutiny of the registration itself.
Letting the NGO Darpan profile go stale
An outdated or unrenewed Darpan profile can quietly disqualify an NGO from government schemes and CSR shortlists without any explicit rejection notice.
No paper trail for board decisions
Major decisions - opening a bank account, appointing a new trustee, approving a large expense - need a documented resolution. Verbal agreement among trustees is not sufficient for auditors or funders.
Mixing up registration filings with annual compliance
Form CSR-1 (to become CSR-eligible) and fresh 12A/80G applications are one-time or renewal-cycle events, separate from the annual ITR-7, audit report, and Darpan/FCRA returns - both tracks need attention, not just one.

सवाल-जवाब
अक्सर पूछे जाने वाले सवाल
NGO registration is the one-time process of forming a Trust, Society, or Section 8 Company. NGO compliance is everything that follows - the recurring annual filings (income tax return, audit report), renewals (NGO Darpan, 12A/80G), and returns (FCRA FC-4) that keep that registration and its tax benefits valid.
Yes. Registered NGOs generally file Form ITR-7 every year, regardless of whether they have taxable income, to report their receipts, application of funds, and to claim exemption under Sections 11/12 of the Income Tax Act if they hold valid 12A registration.
Since the regime changed in 2021, both 12A and 80G registrations are granted for a fixed period, typically five years, and must be renewed before expiry. Missing the renewal window can mean the NGO loses exemption status and has to reapply, which is a longer process.
NGO Darpan is NITI Aayog's portal that assigns a unique ID to registered NGOs. It's a prerequisite for accessing many government grants and schemes, and is increasingly checked by corporate CSR teams. Profiles need periodic renewal or updates to stay active.
Yes, if your NGO holds FCRA registration or prior permission, Form FC-4 must be filed annually by 31 December regardless of whether any foreign contribution was received during the year. A nil return is still a required filing.
Consequences vary by filing - a missed ITR-7 can attract late fees and interest, a missed FC-4 can put FCRA registration at risk, and a missed 12A/80G renewal window means the exemption lapses until you reapply. None of these are automatically restored - each requires a corrective filing or fresh application.
Audit applicability depends on your income level and entity type - most NGOs claiming income tax exemption above the basic exemption threshold need an audit report (Form 10B or 10BB) attached to their return. Society and Trust laws in some states also mandate audits independent of income tax rules.
The retainer covers all three, but the specific filings differ - a Section 8 Company also has MCA/ROC filings (like AOC-4 and MGT-7A) in addition to income tax and Darpan/FCRA compliance, while Trusts and Societies follow their state Registrar's requirements instead of MCA.
Your registration certificate or trust deed, PAN, prior year financial statements and audit report, 12A/80G and FCRA certificates if already held, your NGO Darpan ID if registered, and a list of current trustees or governing body members.
CSR-1 is a one-time (or amendment-driven) registration that makes your NGO eligible to receive CSR funds from companies. NGO Compliance is the ongoing annual retainer covering income tax, Darpan, FCRA, and 12A/80G renewals. Many NGOs use both - CSR-1 to become CSR-eligible, and this retainer to stay compliant year over year.
Yes. Under the Standard and Comprehensive plans we help draft minutes for key board or governing body decisions and keep the minute book in a format auditors and funders expect to see during diligence.
We can help assess the current status and guide you through reapplication - a lapsed approval is not usually permanent, but the process to restore it takes longer and involves more documentation than a timely renewal would have.
The base retainer is generally consistent, but it can vary if your NGO crosses an audit threshold, adds FCRA registration, or has a 12A/80G renewal falling due that particular year, since renewal filings are more involved than the routine annual return.
Many NGOs also have TDS deduction obligations (for salaries, professional fees, or rent) and, in some cases, GST registration if they have taxable commercial activity. These are not automatically bundled into this retainer but can be added - ask us during the compliance mapping call.
Not from day one, but the clock starts running - your first income tax return and, if applicable, your first NGO Darpan and 12A/80G applications typically fall within the first year or two of operation, so it's worth setting up a compliance plan early rather than reactively.
This page is the broader umbrella - it covers Trusts, Societies, and Section 8 Companies together, including the MCA/ROC filings (like AOC-4 and MGT-7A) that only apply to Section 8 Companies. If you're specifically running a Trust and don't need that company-side angle, our dedicated Trust Annual Compliance page covers the same Darpan/FCRA/12A-80G/audit/ITR-7 calendar in a trust-only retainer, often at a lower starting price since it's narrower in scope. Use this page if you're a Society or Section 8 Company, or aren't yet sure which entity type's rules apply to you.
