What is Form INC-20A - Commencement of Business?

Form INC-20A is the statutory form that every company incorporated in India must file with the Registrar of Companies (ROC) to declare that it has commenced or is ready to commence its business. It is mandated under Section 46A of the Companies Act, 2013 and must be filed within 180 days of the date of incorporation.

The form requires the company to confirm that: (a) the minimum subscription (if specified in the prospectus or MoA) has been received, (b) the directors have paid for the shares allotted to them, (c) the registered office is operational, and (d) no other statutory restrictions prevent commencement. Supporting documents include the bank statement showing the deposit of share application money and the subscription money.

Filing INC-20A is not merely a formality. Failure to file within 180 days has serious consequences: the ROC may strike off the company under Section 248, directors may face disqualification under Section 164, and the company cannot open a bank account, obtain a GST registration, or enter into contracts in its own name until INC-20A is filed.

At Bizeneed, our CA team prepares the bank statement, verifies that the minimum subscription is met, drafts the INC-20A form with all declarations, obtains DSC, files with ROC, and follows up for approval. For companies that have missed the 180-day deadline, we also handle late filing with the applicable penalties.

प्रक्रिया

How Form INC-20A filing works

The INC-20A filing process is straightforward but must be completed within 180 days of incorporation.

  1. Verify share capital deposit

We check that the share application money has been deposited in the company's bank account. For companies with a minimum subscription requirement in the MoA, we verify that the full minimum subscription has been received. We obtain the bank statement as proof.

    You

  2. Prepare director declarations

We draft the required declarations from directors: (1) confirmation that minimum subscription (if any) has been received, (2) confirmation that the registered office is operational, and (3) confirmation that directors have paid for their shares. Directors sign these declarations.

    Directors

  3. Compile supporting documents

We gather the CoI, PAN, bank statement, director declarations, DSC, and other supporting documents. We verify each document for completeness and accuracy before filing.

    Our CA

  4. File Form INC-20A on MCA portal

We log in to the MCA portal using the company's credentials, fill out Form INC-20A with the required declarations and details, attach supporting documents, and submit the form. The applicable government fee is paid online.

    Our CA

  5. ROC approval and MCA status update

The ROC processes the form. If no deficiencies are found, the status changes to 'Under Process' and then 'Approved'. The company's status on the MCA portal changes from 'Active (under incorporation)' to 'Active'. We track the filing and confirm approval.

    ROC

The most common reason for INC-20A rejection is a mismatch between the bank statement name and the company name, or insufficient documentation of share capital. We verify the bank statement matches the company name exactly before filing. If you are past the 180-day deadline, contact us immediately - the penalty is ₹100 per day and the ROC may initiate strike-off proceedings.

अक्सर होने वाली गलतियाँ

Common mistakes in Form INC-20A filing

Filing after the 180-day deadline

We set up automatic reminders at 150, 165, and 175 days from incorporation. Contact us immediately if you are past 180 days - late penalties accumulate daily.

Bank statement name mismatch

The bank statement must show the company's exact registered name. If the name differs even slightly, INC-20A will be rejected. We verify this before filing.

Insufficient documentation of share capital

If the MoA specifies a minimum subscription, proof of the full amount being received must be submitted. We prepare the supporting documents correctly.

DSC of an unauthorized person

Only a director or manager of the company can sign Form INC-20A. We verify the DSC belongs to an authorized signatory before filing.

Not filing at all - ignoring the requirement

Some founders are unaware that INC-20A is mandatory. It is not optional. Non-filing leads to ROC strike-off, which is far more expensive and time-consuming to reverse. We make it impossible to miss.

Confusing INC-20A with SPICe+ filing

SPICe+ is the incorporation form. INC-20A is a separate form filed after incorporation to declare commencement. Even companies incorporated through SPICe+ must file INC-20A separately.

ऊपर बताई गई हर गलती का हल है - और ज़्यादातर गलतियाँ पहली बार में ही सही जानकारी देकर टाली जा सकती हैं। बाद में सुधारने से आसान है कि पहली बार में ही सही किया जाए।
