The Challenge
CloudBase Inc., a well-funded US SaaS startup, wanted to expand into the Indian market with a 100% owned subsidiary. The founders, all US-based NRIs, needed end-to-end support: company incorporation, FEMA compliance for foreign investment, RBI reporting (FLA and FEMA returns), business bank account opening, and post-registration compliance. They were unfamiliar with Indian regulatory requirements and needed a single partner to manage the entire process remotely.
Our Approach

- Company Incorporation: Registered a private limited company with the directors being US-based NRIs. Handled DSC, DIN, name approval, and SPICe+ filing remotely with digital document signing.
- FEMA Compliance Setup: Prepared and filed FEMA FC-GP (Foreign Collaboration) forms for the foreign investment route. Ensured the shareholding structure was compliant with FEMA regulations.
- RBI Reporting: Filed Foreign Liabilities and Assets (FLA) return with RBI and set up FEMA annual return filing calendar. All reporting was completed within the prescribed timelines.
- Business Bank Account: Coordinated with the bank to open the current account for the Indian entity, including KYC with NRI directors.
- Post-Incorporation: Registered for PAN, TAN, GST, ESIC, and PF. Set up a compliance calendar for ongoing statutory filings.
