CA Partner Agreement

Terms and conditions for CA professionals partnering with Bizeneed. This agreement covers partnership scope, obligations, compensation, confidentiality, termination, dispute resolution, and contact information.
Partnership Scope
This CA Partner Agreement (the "Agreement") sets out the terms and conditions governing the partnership relationship between Bizeneed India Private Limited and chartered accountant (CA) professionals who join the Bizeneed CA Partner Network. Under this agreement, CA partners provide professional services to Bizeneed clients through the Bizeneed platform, including but not limited to tax planning, GST compliance, audit support, and advisory services. The relationship is that of an independent professional contractor, and nothing in this Agreement creates an employer-employee relationship.

Obligations
The CA partner agrees to provide professional services with due diligence, competence, and in accordance with applicable professional standards and regulations. Partners must maintain confidentiality of all client information obtained through the platform, comply with all applicable laws, regulations, and ICAI guidelines, disclose any conflicts of interest before accepting assignments, maintain accurate and complete records of all services rendered, and participate in mandatory platform training and quality assurance reviews. Bizeneed agrees to provide the platform infrastructure, client referrals, and administrative support necessary for service delivery.

Compensation
CA partners are compensated on a per-service or per-project basis as agreed upon in the specific assignment confirmation. Compensation rates are determined based on service type, complexity, partner experience, and market benchmarks. Payments are processed within 15 days of service completion and client confirmation. Partners are responsible for their own tax obligations including GST registration and compliance where applicable. Bizeneed will issue appropriate tax documentation (TDS certificates, Form 16A) as required by law. Commission or referral fees for client introductions are governed by the separate Referral Policy.

Confidentiality
CA partners are bound by strict confidentiality obligations with respect to all client information, Bizeneed platform data, and proprietary business information obtained during the course of the partnership. Partners must not disclose, share, or use confidential information for any purpose other than providing services to the specific client. Confidentiality obligations survive termination of this Agreement for a period of 5 years. Breach of confidentiality obligations may result in immediate termination and legal action for damages.

Termination
Either party may terminate this Agreement with 30 days' written notice. Bizeneed may terminate immediately for cause, including breach of professional standards, violation of confidentiality obligations, failure to maintain required qualifications, or conduct detrimental to Bizeneed's reputation. Upon termination, the partner must complete or transfer all pending client assignments, return all Bizeneed property and confidential information, and cease use of the Bizeneed platform and trademarks. Outstanding payments for completed services will be processed within the standard payment cycle.

Dispute Resolution
Any dispute arising from or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute is not resolved within 30 days, it shall be referred to arbitration under the provisions of the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, Delhi, India, and the language shall be English. The arbitrator's decision shall be final and binding. Either party may seek interim injunctive relief from a court of competent jurisdiction.
