What is striking off an LLP?

Striking off an LLP means removing its name from the Register of LLPs maintained by the Registrar of Companies (ROC). Once struck off, the LLP ceases to exist as a legal entity. Its LLPIN is deactivated, its GST registration may be suspended, and it cannot enter into contracts or own property in its name.

An LLP can be struck off through two routes: (a) Voluntary strike-off - the LLP initiates closure by filing Form LLP-24 with the ROC, and (b) ROC-initiated strike-off - the ROC strikes off an LLP under Section 75(1)(b) of the LLP Act, 2008 if it has not filed Form 11 or Form 8 for five consecutive years.

The voluntary strike-off process is simpler and faster than company strike-off. The LLP files Form LLP-24, the ROC publishes a notice, and if no objections are received within 30 days, the LLP is struck off. The Fast Track Exit (FTE) mode further simplifies this for LLPs with no creditors and minimal compliance history.

Partners should note that strike-off does not automatically extinguish liability for pre-strike-off debts. Partners remain personally liable for LLP obligations that arose before the strike-off. Proper settlement of all dues before strike-off is essential for protecting partner interests.

How LLP strike-off works

The voluntary strike-off process via Form LLP-24 is the recommended route for compliant LLPs.

Eligibility check

We verify that your LLP has no outstanding Form 11 or Form 8 filings, no secured creditors, no pending legal proceedings, and all assets have been distributed or a plan is in place. We also check if the LLP qualifies for Fast Track Exit (FTE).

Partner consent

All partners must consent to the strike-off. We collect written consent from each partner and prepare the consent resolution. If the LLP Agreement requires a higher threshold, we ensure the required majority is obtained.

Indemnity bond and creditor clearance

All designated partners sign an indemnity bond undertaking to settle any liabilities. We obtain NoC from all known creditors. For LLPs with no creditors, a nil-creditor declaration suffices.

Form LLP-24 filing

We prepare and file Form LLP-24 with the ROC along with: partner consent, indemnity bond, creditor list, latest Form 8, and asset-liability statement. The form is digitally signed by all designated partners.

ROC notice and objection period

The ROC publishes a notice of the strike-off application. A 30-day objection period begins. If no objections are received, the ROC proceeds with the strike-off. If objections are raised, we address or negotiate them.

Strike-off order

After the objection period, the ROC issues a strike-off order. The LLP's LLPIN is deactivated and its name is removed from the register. The LLP ceases to exist as a legal entity.

LLP strike-off is simpler than company strike-off, but partners should understand that liability for pre-strike-off debts survives. Before proceeding, we conduct a liability assessment. If the LLP has significant assets, consider voluntary winding up under NCLT for a cleaner distribution.

Fast Track Exit for LLPs: when to use it

  • FTE is available for clean LLPs. If your LLP has never commenced business, has no secured creditors, has filed all annual returns, and has nil or very low contribution, you may qualify for Fast Track Exit. FTE eliminates the 30-day public notice requirement and makes the process faster and cheaper. Our CA checks FTE eligibility before recommending the approach.
  • ROC-initiated strike-off is more dangerous. If your LLP has not filed Form 11 or Form 8 for 5 consecutive years, the ROC can initiate strike-off under Section 75(1)(b) without your consent. You receive an STK notice and have only 30 days to respond. Ignoring the notice leads to automatic strike-off with no control over the process.
  • Voluntary strike-off is always better. Even if you qualify for FTE, voluntary strike-off via Form LLP-24 gives you control over the process, the timeline, and asset distribution. It also creates a clear paper trail that directors/partners were acting responsibly, which matters for future DIN/DPIN applications.

Not getting all partner consents

Form LLP-24 requires consent from all partners. If even one partner objects, the process stalls. Ensure all partners are aligned before filing.

Ignoring ROC-initiated strike-off notice

If ROC sends a strike-off notice, you have only 30 days to respond. File Form LLP-24 voluntarily to maintain control of the process.

Leaving GST and other registrations active

Cancel GST, TAN, and other licenses before striking off. Active registrations attract compliance notices and penalties.

Not distributing LLP assets before strike-off

After strike-off, unclaimed assets may be transferred to the government. Distribute all assets to partners through a proper resolution before filing.

Confusing LLP strike-off with company strike-off
