These Terms and Conditions govern your use of Bizeneed India Private Limited's TDS return filing services, including TDS challan preparation and TDS certificate issuance. These Terms are framed in accordance with the Income Tax Act, 1961, the Income Tax Rules, 1962, the Information Technology Act, 2000, and other applicable Indian laws. By subscribing to our TDS return filing services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Introduction
Welcome to Bizeneed India Private Limited. These Terms and Conditions constitute a legally binding agreement between you ('User', 'you', or 'your') and Bizeneed India Private Limited ('Company', 'we', 'us', or 'our') governing your use of our Tax Deducted at Source (TDS) return filing and related TDS compliance services. These Terms are framed in strict accordance with the Income Tax Act, 1961, the Income Tax Rules, 1962, the Information Technology Act, 2000, and other applicable Indian laws and regulations. Please read these Terms carefully before engaging our TDS return filing services.
- These Terms apply specifically to TDS return filing and related services offered through the Bizeneed platform
- The Platform operates as a technology-enabled intermediary facilitating TDS return preparation and filing by qualified professionals
- By subscribing to our TDS return filing services, you confirm you have read, understood, and agree to these Terms in their entirety
- If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms
- Continued use of the service after any modifications to these Terms constitutes acceptance of the updated Terms

Scope
Our TDS return filing services cover the preparation, validation, and electronic filing of TDS returns under the Income Tax Act, 1961. This includes the quarterly filing of Form 24Q for TDS on salaries, Form 26Q for TDS on payments other than salaries to non-residents, Form 27Q for TDS on payments to non-residents (other than salary), and Form 27EQ for Tax Collection at Source (TCS) returns. We also assist with preparation of TDS challans (Form ITNS 280) for tax payments to the Income Tax Department, issuance of TDS certificates (Form 16, Form 16A, Form 16B, Form 16C) to deductees, and generation of Form 26AS and TDS reconciliation statements. The scope of services is limited to the preparation, validation, and electronic submission of returns based on the information and documents provided by you. We do not guarantee any particular outcome from the tax authorities, and we do not provide legal representation before any adjudicating, appellate, or tax authority unless explicitly agreed upon in a separate engagement.
- Quarterly TDS return filing (Form 24Q, 26Q, 27Q) and TCS return filing (Form 27EQ)
- Preparation of TDS challans (Form ITNS 280) for tax payments to the Income Tax Department
- Issuance of TDS certificates (Form 16, Form 16A, Form 16B, Form 16C) to deductees
- Form 26AS generation, reconciliation, and mismatch identification
- TDS interest and late fee computation and advisory
- TDS return amendment and revision as permitted under the Income Tax Rules
- Quarterly TDS reconciliation with books of account and Form 26AS
- Preparation of Annual TDS return (Form 24Q consolidated annual) for specified deductor categories
Obligations
You agree to provide complete, accurate, and verified deductee details, PAN numbers, payment records, challan details, and all supporting documents in a timely manner. It is your responsibility to ensure that all deductee PANs are valid and correctly linked to the relevant deductees, that all payment records are accurate and complete, and that all TDS deductions have been correctly computed as per applicable provisions of the Income Tax Act. You warrant that all information provided for TDS return filing is true, accurate, and complete to the best of your knowledge. You agree to notify Bizeneed immediately of any changes to your deductor details, PAN, TAN, or business operations that may affect your TDS filing obligations. You are solely responsible for the accuracy and completeness of the information provided, and you agree to indemnify Bizeneed against any claims, penalties, or losses arising from inaccurate or incomplete data provided by you.
- Provide complete and accurate deductee details, PAN numbers, and payment records before the agreed filing timeline
- Ensure all deductee PANs are valid and correctly linked to the respective deductees
- Provide accurate payment records, invoice details, and applicable TDS rate computations
- Ensure all TDS deductions have been correctly computed as per applicable provisions of the Income Tax Act
- Notify Bizeneed immediately of any changes to deductor details, PAN, TAN, or business operations
- Warrant that all information submitted for TDS return filing is true, accurate, and complete
- Indemnify Bizeneed against claims, penalties, or losses arising from inaccurate or incomplete data provided
- Review the draft TDS return prepared by Bizeneed before electronic filing and promptly confirm or provide corrections
Fees & Payment
Service fees for TDS return filing are as communicated at the time of engagement and become binding upon acceptance by you. All fees are quoted inclusive or exclusive of GST as explicitly specified at the time of quoting. Government fees, including TDS tax payments, interest, late fees, and out-of-pocket expenses, are billed separately and are payable in addition to our professional fees. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. Subscription-based services are billed in advance on a monthly or quarterly basis and auto-renew unless cancelled at least 7 days before the renewal date. All payments must be made through the official payment channels integrated with the Bizeneed Platform. We reserve the right to suspend or restrict services for accounts with overdue payments exceeding 30 days.

- Fees are inclusive or exclusive of GST as explicitly stated in the invoice or quotation
- TDS tax payments, interest, late fees, and third-party charges are billed separately from professional fees
- Late payments attract interest at 18% per annum from the due date to the date of actual payment
- Subscription fees are billed in advance and auto-renew unless cancelled at least 7 days before renewal
- All payments must be made through official payment gateways integrated with the Platform
- Services may be suspended for accounts with overdue payments exceeding 30 days
- Refund eligibility is governed by our Refund Policy available at /refund-policy
Timelines
TDS returns are required to be filed on a quarterly basis. Q1 returns (April-June) are due by July 31st, Q2 returns (July-September) are due by October 31st, Q3 returns (October-December) are due by January 31st, and Q4 returns (January-March) are due by May 31st. Annual consolidated returns are due by May 31st of the following financial year. While Bizeneed will make every reasonable effort to ensure timely filing, we are not responsible for any delays caused by the unavailability of data or documents from your end, technical issues with the Income Tax e-filing portal, or any other circumstances beyond our reasonable control. Timelines mentioned are indicative and subject to change based on government notifications and regulatory updates. Clients are advised to submit all required data at least 3 business days before the statutory due date to allow for review and filing. TDS certificates (Form 16, Form 16A) must be issued to deductees within the timelines prescribed under the Income Tax Rules.
- Q1 TDS return (April-June): due by July 31st
- Q2 TDS return (July-September): due by October 31st
- Q3 TDS return (October-December): due by January 31st
- Q4 TDS return (January-March): due by May 31st
- Annual consolidated returns: due by May 31st of the following financial year
- TDS certificates (Form 16, Form 16A) must be issued within prescribed timelines
- Clients should submit data at least 3 business days before the statutory due date
- Timelines are indicative and subject to change based on government notifications
- Bizeneed is not liable for delays caused by client-side data unavailability or portal issues
Confidentiality
Both parties agree to maintain strict confidentiality with respect to all information, data, documents, and materials exchanged during the course of this engagement. You agree that all TDS data, deductee details, PAN information, payment records, and salary/payment information shared with Bizeneed shall be treated as confidential information. Bizeneed agrees to protect your confidential information using industry-standard security measures and shall not disclose, share, or use your confidential information except as necessary for the performance of services under these Terms. Our obligations of confidentiality shall not apply to information that is or becomes publicly available through no fault of ours, is rightfully received from a third party without confidentiality restrictions, is independently developed by us without use of your confidential information, or is required to be disclosed by law or court order.
- All TDS data, deductee details, PAN information, and payment records shared with Bizeneed shall be treated as confidential
- Bizeneed shall protect your confidential information using industry-standard security measures
- Confidential information shall not be disclosed to third parties without your prior written consent
- Confidentiality obligations do not apply to publicly available information or information required to be disclosed by law
- Both parties shall ensure their respective personnel handling confidential information are bound by confidentiality obligations
- Confidentiality obligations survive the termination of this agreement for a period of 3 years
- In the event of a data breach involving your confidential information, Bizeneed shall notify you within 72 hours
Limitation of Liability
To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any service engagement or claim arising from these Terms or the use of our TDS return filing services shall not exceed the service fees paid by you for the specific service in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, loss of business opportunities, or any other financial loss arising from the use or inability to use our services, even if we have been advised of the possibility of such damages. We are not liable for any penalties, interest, late fees, or adverse consequences imposed by the Income Tax Department arising from delayed, rejected, or inaccurate returns, to the extent such outcomes result from inaccurate information provided by you or from circumstances beyond our reasonable control.
- Aggregate liability limited to service fees paid for the specific service in the preceding 12 months
- No liability for indirect, incidental, special, consequential, or punitive damages of any kind
- No liability for Income Tax portal downtime, errors, or changes in the filing process beyond our control
- No liability for penalties, interest, or late fees arising from client-provided inaccurate data
- No liability for losses arising from your failure to review the draft return before filing
- No liability for delays caused by government notifications or changes in income tax law
- Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud
Termination
Either party may terminate the service relationship by providing not less than 30 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate your access to the TDS return filing service without prior notice if you breach these Terms, fail to make payments when due, provide false, misleading, or inaccurate information, or engage in any activities that harm the Platform or our business interests. Upon termination, all outstanding fees and charges become immediately due and payable. We will make reasonable efforts to deliver completed work product and provide transition assistance for a period of 15 days post-termination. Access to the TDS return filing service and all associated data will be suspended upon termination. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.
- Either party may terminate with not less than 30 days' prior written notice
- We may immediately suspend or terminate for breach of Terms, non-payment beyond 30 days, or fraudulent activity
- All outstanding fees and charges become immediately due and payable upon termination
- Completed work product will be delivered and reasonable transition assistance provided for 15 days
- Access to the TDS return filing service and all associated data will be suspended upon termination
- Provisions relating to confidentiality, liability, dispute resolution, and intellectual property survive termination
- Upon request within 30 days of termination, your data will be provided in a portable format
Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the use of our TDS return filing services. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding.
- These Terms are governed by the laws of India without regard to conflict of law provisions
- Courts in New Delhi, Delhi, India have exclusive jurisdiction over all disputes
- Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
- Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
- Seat of arbitration: New Delhi, Delhi, India; Language: English
- The arbitration award shall be final and binding on all parties
- Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
