Terms & Conditions - Startup India Registration

These Terms & Conditions constitute a legally binding agreement between you and Bizeneed India Private Limited governing your engagement for Startup India registration, DPIIT recognition, and related compliance services. These Terms are framed in accordance with the DPIIT guidelines, the Startup India Action Plan, the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable Indian laws. By submitting a service request, making a payment, or providing any documentation, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Introduction

Welcome to Bizeneed India Private Limited. These Terms & Conditions constitute a legally binding agreement between you ("Startup", 'you', or 'your') and Bizeneed India Private Limited ("Company", 'we', 'us', or 'our') specifically governing your engagement for Startup India registration, DPIIT recognition, and related compliance services through the Bizeneed platform. These Terms are framed in strict accordance with the Department for Promotion of Industry and Internal Trade (DPIIT) guidelines, the Startup India Action Plan, the Information Technology Act, 2000, the Indian Contract Act, 1872, and all other applicable Indian laws and regulations. Please read these Terms carefully before availing our Startup India services. By submitting a service request, making a payment, or providing any documentation, you agree to be bound by these Terms in their entirety.

  • These Terms apply specifically to all Startup India registration, DPIIT recognition, and compliance service engagements through Bizeneed
  • The Platform acts as a technology-enabled intermediary connecting startups with qualified Startup India compliance professionals
  • By submitting a service request, you confirm you have read, understood, and agree to these Terms
  • If you act on behalf of a startup or legal entity, you represent that you have the authority to bind that entity to these Terms
  • Continued engagement for Startup India services after modifications to these Terms constitutes acceptance of the updated Terms

Scope

These Terms govern all Startup India-related services offered through the Bizeneed platform, including: (a) Startup India registration on the official portal (startupindia.gov.in); (b) DPIIT (Department for Promotion of Industry and Internal Trade) recognition application and processing; (c) Self-certification compliance for labour and environmental laws; (d) Application for tax benefits under Section 56 of the Income Tax Act, 1961 (exemption from tax on investments above fair market value); (e) Application for tax benefits under Section 80-IAC of the Income Tax Act, 1961 (100% profit exemption for 3 consecutive years); (f) Fund of Funds for Startups (FFS) guidance and application support; (f) Credit guarantee fund scheme guidance; (g) Patent and trademark filing assistance under Startup India IPR policy; and (h) Any other Startup India-related services as may be offered from time to time. Services are rendered by independent qualified professionals and consultants.

  • Tax benefit applications under Section 56 (exemption from tax on investments above fair market value)
  • Tax benefit applications under Section 80-IAC (100% profit exemption for 3 consecutive years)
  • Fund of Funds for Startups (FFS) and Credit Guarantee Fund Scheme guidance
  • Patent and trademark filing assistance under Startup India IPR policy
  • Any ancillary services related to Startup India compliance as may be offered from time to time

Obligations

You agree to provide accurate, complete, and up-to-date information and documentation as required for Startup India registration and DPIIT recognition. This includes: (a) Providing a valid certificate of incorporation or registration issued by the Registrar of Companies (ROC), Registrar of Firms, or Registrar of Societies/Trusts as applicable; (b) Providing a comprehensive business plan detailing the nature of business, target market, revenue model, scalability potential, and innovation aspects; (c) Providing details of all founders including their educational qualifications, professional background, roles, and equity shareholding; (d) Ensuring the startup is incorporated not more than 10 years ago from the date of application; (e) Ensuring the startup has an annual turnover not exceeding ₹100 crore in any financial year since incorporation; (f) Working towards innovation, development, or improvement of products, processes, or services; (g) Providing PAN, Aadhaar, and other KYC documents of all founders and directors; (h) Providing details of funding received, if any; and (i) Timely responding to queries from DPIIT authorities and providing any additional information requested during the application process.

  • Provide valid certificate of incorporation/registration from ROC, Registrar of Firms, or Registrar of Societies/Trusts
  • Submit a comprehensive business plan detailing nature of business, target market, revenue model, and innovation aspects
  • Provide complete details of all founders including education, professional background, roles, and equity shareholding
  • Ensure the startup is incorporated not more than 10 years from the date of application
  • Ensure the startup has annual turnover not exceeding ₹100 crore in any financial year
  • Demonstrate that the startup is working towards innovation, development, or improvement of products, processes, or services
  • Provide PAN, Aadhaar, and KYC documents of all founders and directors
  • Provide details of funding received, if any, along with investor agreements
  • Respond promptly to queries from DPIIT authorities during the application process

Fees & Payment

Our professional fees for Startup India services are as communicated at the time of engagement and become binding upon acceptance by you. Government fees, DPIIT application charges, and other statutory payments are billed separately and are payable in addition to our professional fees. All fees are quoted inclusive or exclusive of GST as explicitly specified at the time of quoting. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. We reserve the right to suspend or restrict service delivery for accounts with overdue payments exceeding 30 days. No Startup India application will be filed with authorities until the agreed fees have been received in full. Refund eligibility for Startup India services is governed by our Refund Policy.

  • Professional fees are as communicated at the time of engagement and are binding upon acceptance
  • DPIIT government fees, application charges, and statutory payments are billed separately
  • Fees are inclusive or exclusive of GST as explicitly stated in the invoice or quotation
  • Late payments attract interest at 18% per annum calculated from the due date to the date of actual payment
  • Startup India applications are not filed with authorities until full payment has been received
  • Services may be suspended for accounts with overdue payments exceeding 30 days
  • Refund eligibility is governed by our Refund Policy available at /refund-policy

Timelines

The estimated timelines for Startup India services are indicative and subject to the efficiency and processing times of the DPIIT authorities and the Startup India portal. Standard estimated timelines are: (a) Startup India registration: 7-15 working days from the date of complete document submission; (b) DPIIT recognition: 15-30 working days from the date of complete document submission and Startup India registration; (c) Tax benefit application (Section 56/80-IAC): 30-60 working days from the date of DPIIT recognition; (d) Self-certification compliance guidance: ongoing throughout the recognition period. Timelines are subject to delays caused by incomplete documentation, queries from DPIIT authorities, changes in government procedures, force majeure events, or any other reasons beyond our reasonable control. We do not guarantee specific timelines for DPIIT approvals as these are entirely dependent on government processing.

  • Startup India registration: estimated 7-15 working days from complete document submission
  • DPIIT recognition: estimated 15-30 working days from complete document submission and registration
  • Tax benefit applications (Section 56/80-IAC): estimated 30-60 working days from DPIIT recognition
  • Self-certification compliance guidance: ongoing throughout the recognition period
  • Timelines are indicative and subject to DPIIT authority processing times and procedures
  • Delays caused by incomplete documentation or queries from authorities are not included in timelines
  • Government processing times may vary based on the workload of DPIIT and related authorities

Confidentiality

Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, business data, intellectual property, and other sensitive information disclosed during the course of Startup India service engagement. You agree not to share your Startup India credentials, login details, or any proprietary information provided by Bizeneed with third parties. Bizeneed agrees to protect your business information, financial data, personal details, and innovative ideas in accordance with applicable data protection laws. Our professionals and staff are bound by confidentiality obligations and will not disclose your information to unauthorised parties. Confidentiality obligations shall survive termination of the service engagement for a period of 5 years or as required by applicable law.

  • Both parties agree to maintain confidentiality of all proprietary and sensitive information
  • You must not share Startup India credentials, login details, or proprietary information with unauthorised third parties
  • Bizeneed will protect your business information, financial data, personal details, and innovative ideas per applicable laws
  • Our professionals are bound by confidentiality obligations and will not disclose your information
  • You must not disclose Bizeneed's processes, methodologies, pricing, or business strategies
  • Confidentiality obligations survive termination of service engagement for 5 years

Limitation of Liability

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability for any Startup India service engagement shall not exceed the professional fees paid by you for that specific service. We are not responsible for any delays, rejections, or adverse outcomes caused by DPIIT authorities, government bodies, or any other regulatory entity. We do not guarantee the issuance of DPIIT recognition or tax benefits, as final approval rests solely with the relevant authorities. We shall not be liable for any loss of business, loss of funding opportunities, loss of revenue, or consequential damages arising from delays in approval, rejection of application, or any actions taken by government authorities.

  • Aggregate liability limited to professional fees paid for the specific Startup India service
  • No liability for delays, rejections, or adverse decisions made by DPIIT authorities or government bodies
  • No guarantee of DPIIT recognition or tax benefits as final authority rests with government bodies
  • No liability for loss of business, funding opportunities, revenue, or consequential damages
  • Not liable for outcomes caused by inaccurate or incomplete information provided by you
  • No liability for service interruptions due to force majeure or government policy changes

Termination

Either party may terminate the Startup India service engagement by providing not less than 15 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate services without prior notice if you breach these Terms, provide false or misleading information, fail to make payments when due, or engage in activities that harm our business interests. Upon termination, all outstanding fees for services already rendered become immediately due and payable. Documents submitted by you will be returned within 15 days of termination request. Any Startup India application filed with authorities on your behalf will not be withdrawn without your explicit written consent. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.

  • Either party may terminate with not less than 15 days' prior written notice
  • We may immediately terminate for breach of Terms, non-payment beyond 30 days, or fraudulent activity
  • All outstanding fees for services rendered become immediately due upon termination
  • Documents submitted will be returned within 15 days of termination request
  • Startup India applications already filed will not be withdrawn without your explicit written consent
  • Provisions relating to confidentiality, liability, and dispute resolution survive termination

Dispute Resolution

Any dispute arising from or in connection with these Terms or Startup India services shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding. These Terms are governed by the laws of India without regard to conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute not resolved through arbitration.

  • Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
  • Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Seat of arbitration: New Delhi, Delhi, India; Language: English
  • The arbitration award shall be final and binding on all parties
  • These Terms are governed by the laws of India without regard to conflict of law provisions
  • Courts in New Delhi, Delhi, India have exclusive jurisdiction over any dispute not resolved through arbitration
