Welcome to Bizeneed India Private Limited. These Terms and Conditions constitute a legally binding agreement between you ('Client', 'you', or 'your') and Bizeneed India Private Limited ('Company', 'we', 'us', or 'our') governing your engagement of Society Registration services through the Bizeneed platform. These Terms are framed in strict accordance with the Societies Registration Act, 1860, the Information Technology Act, 2000, the Indian Contract Act, 1872, and all other applicable Indian laws and regulations. Please read these Terms carefully before availing our services. By requesting a quote, placing an order, or engaging our services, you agree to be bound by these Terms in their entirety.

• These Terms govern all engagements for cooperative and non-profit society registration services
• The Platform operates as a technology-enabled intermediary connecting clients with qualified professionals
• By placing an order or purchasing any service, you confirm you have read, understood, and agree to these Terms
• If you act on behalf of a society or legal entity, you represent that you have the authority to bind that entity to these Terms
• Continued engagement of services after any modifications to these Terms constitutes acceptance of the updated Terms

Bizeneed India Private Limited provides technology-enabled services for society registration in India. Our services include: drafting the Memorandum of Association (MOA) defining the society's name, objectives, and registered office address; preparing the Rules and Regulations (bylaws) governing the society's management and operations; facilitating registration with the competent Registrar of Societies under the Societies Registration Act, 1860 or applicable state legislation; assisting with the appointment of the governing body including President, Secretary, Treasurer, and executive committee members; advisory on ongoing compliance obligations including annual general meetings, annual returns, and statutory filings; and support for amendments to MOA and bylaws as required. The exact scope of services will be specified in the service engagement agreement or order confirmation. Services do not include ongoing management of the society's day-to-day operations unless explicitly agreed in writing.

• Memorandum of Association (MOA) drafting defining society name, objectives, and registered office
• Rules and Regulations (bylaws) preparation governing society management and operations
• Society registration with the competent Registrar of Societies under applicable legislation
• Assistance with governing body appointments and office bearer elections
• Advisory on ongoing compliance obligations including AGMs, annual returns, and statutory filings
• Support for amendments to MOA and bylaws as required by the society
• Advisory on tax exemption benefits under Sections 12A and 80G of the Income Tax Act
• Assistance with FCRA registration for societies receiving foreign contributions

As a client engaging our Society Registration services, you agree to provide all necessary information, documents, and cooperation required for timely and accurate service delivery. This includes a complete list of founding members with full details including name, address, occupation, PAN, and identity proof; proposed society name and its availability confirmation; detailed description of the society's objectives and proposed activities; registered office address and proof of address; details of property or assets to be contributed to the society; consent letters from all founding members; and affidavits from office bearers as required by the Registrar. You are responsible for convening the inaugural meeting, adopting the MOA and bylaws, and electing the first governing body. Any delays or inaccuracies in the information provided may result in delays in registration or rejection of applications.

• Provide a complete list of all founding members with names, addresses, occupations, PAN, and identity proof
• Submit proposed society name and confirmation of name availability from the Registrar
• Provide detailed description of society objectives and proposed activities
• Furnish registered office address and documentary proof of address
• Submit details of property or assets to be contributed to the society
• Provide signed consent letters from all founding members
• Execute and return all affidavits, declarations, and society documents within agreed timelines
• Convene the inaugural meeting to adopt the MOA, bylaws, and elect the first governing body
• Notify Bizeneed immediately of any changes to member details, society objectives, or registered address
• You are responsible for the accuracy and completeness of all documents before submission to authorities

Service fees for Society Registration services are as communicated at the time of engagement and become binding upon your acceptance. Fees typically include professional charges for MOA drafting, bylaws preparation, documentation, and liaison with government authorities. Government registration fees, stamp duties, notary charges, courier charges, and other out-of-pocket expenses are billed separately and are payable in addition to our professional fees. All fees are quoted inclusive or exclusive of GST as explicitly specified in the quotation. Payment must be made as per the agreed payment schedule. Late payments may attract interest at 18% per annum from the due date. We reserve the right to withhold filing or submission of applications until full payment is received.

• Service fees are as communicated at the time of engagement and are binding upon acceptance
• Government registration fees, stamp duties, notary charges, and out-of-pocket expenses are billed separately
• Fees are inclusive or exclusive of GST as explicitly stated in the quotation or invoice
• Late payments attract interest at 18% per annum calculated from the due date
• We may withhold filing or submission of applications until full payment is received
• Services may be suspended for accounts with overdue payments exceeding 30 days
• Refund eligibility is governed by our Refund Policy available at /refund-policy
• Additional charges apply for expedited processing, re-filing due to client errors, and revision requests

While we strive to complete all Society Registration services within the standard timelines of 15-30 business days from the date of receipt of all required documents and payments, actual timelines may vary based on government processing schedules, document completeness, state-specific requirements, and workload. MOA and bylaws drafting typically takes 3-5 business days. Society registration with the Registrar of Societies generally takes 15-30 business days, depending on the state and jurisdiction. PAN and bank account opening applications typically take 7-15 business days. We will provide periodic updates on the status of your application. Delays caused by government authorities, incomplete documentation provided by you, or supplementary information requests from authorities are beyond our control.

• MOA and bylaws drafting: typically 3-5 business days from receipt of all required information
• Society registration: typically 15-30 business days depending on the state and Registrar's schedule
• PAN and bank account opening: typically 7-15 business days from submission
• 12A and 80G applications: typically 45-60 business days from submission
• Periodic status updates will be provided throughout the engagement
• Delays due to government processing, incomplete documentation, or supplementary queries are beyond our control
• Expedited processing may be available on request for additional charges

Both parties agree to maintain strict confidentiality with respect to all information shared during the course of the engagement. You agree that all society documents, member details, property information, financial disclosures, and any other sensitive information shared with us will be treated as confidential. We implement industry-standard security measures to protect your data including encryption, access controls, and secure storage systems. Your data will not be shared with third parties except as required for service delivery, as mandated by law, or with your prior written consent. Our team members are bound by confidentiality obligations. We may share information with government authorities as part of the registration process. Upon completion or termination of services, your confidential data will be retained as per applicable data protection laws and our data retention policy.

• All society documents, member details, property information, and financial disclosures are treated as confidential
• Industry-standard security measures including encryption, access controls, and secure storage are implemented
• Your data will not be shared with third parties except as required for service delivery or mandated by law
• Team members are bound by strict confidentiality obligations
• Information may be shared with government authorities as part of the registration process
• Data retention and disposal comply with applicable Indian data protection laws
• You may request deletion of your data after service completion, subject to legal retention requirements

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any Society Registration engagement shall not exceed the service fees paid by you for the specific engagement in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of membership benefits, penalties from government authorities, rejection of applications, loss of registration status, or any financial loss arising from the use of our services. We are not liable for delays, errors, rejections, or adverse decisions by government authorities or the Registrar of Societies. We are not liable for losses arising from inaccurate, incomplete, or delayed information provided by you.

• Aggregate liability limited to fees paid for the specific Society Registration engagement in the preceding 12 months
• No liability for indirect, incidental, special, consequential, or punitive damages of any kind
• No liability for rejection of applications, penalties, or adverse decisions by government authorities
• Not liable for loss of registration status, tax benefits, or membership rights due to registration delays
• Not liable for delays, errors, or rejections caused by the Registrar of Societies or other government bodies
• Not liable for losses arising from inaccurate, incomplete, or delayed information provided by you
• Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud

Either party may terminate the service engagement by providing not less than 30 days' prior written notice to the other party. In the case of Society Registration services, if the application has already been submitted to government authorities, work completed up to that point will be billed proportionally. Bizeneed may terminate the engagement immediately if you provide false or misleading information, fail to make payments when due, or breach these Terms. Upon termination, all outstanding fees for completed work become immediately due and payable. We will deliver completed work product within 15 days of termination. Provisions of these Terms that by their nature should survive termination, including confidentiality and limitation of liability, shall remain in full force and effect.

• Either party may terminate with not less than 30 days' prior written notice
• If the registration application has been submitted, completed work will be billed proportionally
• All outstanding fees for completed work become immediately due and payable upon termination
• Completed work product will be delivered within 15 days of termination
• Confidentiality, limitation of liability, and dispute resolution provisions survive termination
• Upon request within 30 days of termination, your data will be provided in a portable format
• Government fees already paid to authorities are non-refundable
