Referral Program Terms & Conditions

Bizeneed India Private Limited (hereinafter referred to as 'Bizeneed', 'we', 'us', or 'our') operates a Referral Program (hereinafter referred to as the 'Program') that enables eligible individuals and entities to earn rewards by referring new clients ('Referrals') to our platform and professional services. These Referral Program Terms & Conditions (hereinafter referred to as these 'Terms') constitute a legally binding agreement between you ('Referrer', 'you', or 'your') and Bizeneed governing your participation in the Program. These Terms are framed in accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Income Tax Act, 1961, and all other applicable Indian laws and regulations. By participating in the Program, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately refrain from participating in the Program.

• These Terms govern all participants in the Bizeneed Referral Program, including customers, partners, and affiliates
• The Program is operated solely by Bizeneed India Private Limited and is subject to change at our sole discretion
• By enrolling in or participating in the Program, you confirm you have read, understood, and agree to these Terms
• Bizeneed reserves the right to modify, suspend, or terminate the Program or these Terms at any time with or without notice
• These Terms are in addition to, and do not supersede, our general Terms of Service, Privacy Policy, and Refund Policy

Participation in the Bizeneed Referral Program is open to individuals and entities who meet the following criteria: (a) You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872; (b) You must have a valid Bizeneed account in good standing; (c) You must not be a resident of any jurisdiction where referral or affiliate programs of this nature are prohibited or restricted by applicable law; (d) You must not be an employee, director, officer, or contractor of Bizeneed India Private Limited or any of its affiliates, subsidiaries, or group companies at the time of referral; (e) You must provide accurate and verifiable identification and bank account details for payout processing; and (f) You must comply with all applicable tax laws and regulations in your jurisdiction. Bizeneed reserves the right to verify eligibility at any time and to disqualify any participant who fails to meet these criteria.

• You must be at least 18 years of age and have the legal capacity to enter into binding agreements
• You must possess a valid and active Bizeneed account in good standing
• You must not be a current or former employee, director, officer, or contractor of Bizeneed or its affiliates
• You must not reside in any jurisdiction where participation in referral programs is prohibited by applicable law
• You must provide accurate identification, KYC details, and valid bank account information for payouts
• Participation is void where prohibited by law; it is your responsibility to comply with local regulations
• Bizeneed reserves the right to verify eligibility at any time and disqualify non-compliant participants
• Each individual or entity may maintain only one active referral account

Once enrolled in the Program, you will be provided with a unique referral link or referral code generated through your Bizeneed account dashboard. When a prospective client ('Prospect') clicks on your referral link or enters your referral code during registration, a tracking cookie is placed on the Prospect's browser for a duration of 90 days. Any service engagement or purchase made by the Prospect within this 90-day cookie window will be attributed to you as the Referrer, provided the Prospect is a new user who has not previously registered or transacted on the Bizeneed platform. Referral attribution is determined solely based on our tracking system. We are not liable for tracking failures caused by browser settings, ad blockers, cookie deletions, or other technical factors beyond our reasonable control. You are responsible for sharing your referral link or code through lawful and appropriate channels only.

• Upon enrollment, you receive a unique referral link and/or referral code from your Bizeneed dashboard
• When a Prospect clicks your referral link, a tracking cookie is set for 90 days from the date of first click
• Any first-time purchase or service engagement by the Prospect within the 90-day window is attributed to you
• Referral attribution is determined solely by our tracking system; manual adjustments are at our discretion
• Referral links must be shared through lawful, ethical, and appropriate channels only
• We are not liable for tracking failures due to ad blockers, cookie deletions, browser settings, or other technical issues
• Self-referrals, referring existing Bizeneed users, or referring under multiple identities are strictly prohibited
• Referral activity will be reviewed periodically; fraudulent or suspicious referrals may be voided

The standard referral reward is a cash commission equivalent to 10% (ten percent) of the net service fee paid by the Referred Client for their first service engagement, excluding government fees, stamp duties, courier charges, out-of-pocket expenses, and taxes. The minimum payout threshold is INR 500 (Indian Rupees Five Hundred only). Rewards below the minimum threshold will accumulate in your referral wallet until the threshold is met. Payouts are processed on a monthly cycle, within 15 business days of the end of each calendar month, provided the accumulated reward amount meets or exceeds the minimum payout threshold. Payments will be made via bank transfer (NEFT/IMPS/UPI) to the registered bank account you have provided. You are solely responsible for all applicable taxes, including but not limited to TDS as per the Income Tax Act, 1961, on rewards received. Bizeneed will issue a Form 16A or TDS deduction certificate as applicable. Rewards are non-transferable and non-exchangeable for cash alternatives unless explicitly permitted by Bizeneed in writing.

• Standard commission: 10% of the net service fee paid by the Referred Client on their first engagement
• Government fees, stamp duties, courier charges, and out-of-pocket expenses are excluded from commission calculation
• Minimum payout threshold: INR 500; rewards below this threshold accumulate until the threshold is reached
• Payouts are processed monthly within 15 business days of month-end
• Payments are made via NEFT/IMPS/UPI to your registered bank account
• You are responsible for all applicable taxes, including TDS as per the Income Tax Act, 1961
• Bizeneed will issue a TDS deduction certificate (Form 16A) for payments subject to tax deduction
• Rewards are non-transferable and non-exchangeable unless explicitly permitted in writing by Bizeneed
• Payouts may be withheld for accounts under investigation for policy violations or fraudulent activity
• Unclaimed rewards remaining inactive for 12 consecutive months may be forfeited

The following activities are strictly prohibited under the Referral Program and may result in immediate disqualification, forfeiture of pending rewards, termination of your participation, and any other remedies available under applicable law: (a) Self-referral or referring yourself, family members, or entities under your control; (b) Referring existing Bizeneed users or clients who have previously registered or transacted on the platform; (c) Creating fake, fraudulent, or multiple accounts to generate referrals; (d) Using automated tools, bots, scripts, or other artificial means to generate referrals; (e) Spamming, unsolicited messaging, or any form of deceptive or misleading marketing practices; (f) Offering incentives, bribes, or compensation to Prospects beyond what is authorised by Bizeneed; (g) Impersonating Bizeneed or falsely representing an affiliation with Bizeneed; (h) Sharing, selling, or transferring referral links or codes to unauthorised third parties; (i) Engaging in any activity that manipulates, inflates, or circumvents the intended purpose of the Program; and (j) Any activity that violates applicable Indian laws including but not limited to the Information Technology Act, 2000, the Prevention of Money Laundering Act, 2002, or the Consumer Protection Act, 2019.

• Self-referrals or referring family members, associates, or entities under your control are strictly prohibited
• Referring existing Bizeneed users or clients who have previously registered or transacted on the platform is not permitted
• Creating fake, fraudulent, or multiple accounts to generate referrals is grounds for immediate disqualification
• Use of automated tools, bots, scripts, or any artificial means to generate referrals is prohibited
• Spamming, unsolicited messaging, deceptive marketing, or misleading representations about Bizeneed services are not allowed
• Offering unauthorised incentives, bribes, or compensation to Prospects to use your referral link is prohibited
• Impersonating Bizeneed, its employees, or falsely representing an official affiliation is a serious violation
• Selling, transferring, or auctioning referral links or codes to third parties is not permitted
• Any activity that manipulates, inflates, or circumvents the Program's intended purpose will result in forfeiture of all rewards
• Violations may be reported to relevant authorities under applicable Indian laws including the IT Act, 2000 and PMLA, 2002

Bizeneed reserves the right to modify, amend, suspend, or terminate the Referral Program or any aspect of these Terms at any time and from time to time, at its sole and absolute discretion. Such modifications may include changes to commission rates, payout thresholds, cookie duration, eligibility criteria, tracking mechanisms, and any other terms governing the Program. In the event of material changes to these Terms, we will make reasonable efforts to notify registered participants via email or through an in-platform notification at least 7 days before the effective date of such changes. However, Bizeneed shall not be liable for any failure to provide such notification. Your continued participation in the Program following the posting of any modifications constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must immediately cease participation in the Program.

• Bizeneed may modify, amend, suspend, or terminate the Program at any time at its sole discretion
• Modifications may include changes to commission rates, payout thresholds, cookie duration, and eligibility criteria
• Material changes will be communicated to registered participants at least 7 days before the effective date
• Bizeneed shall not be liable for any failure to provide notification of changes
• Continued participation in the Program after modifications constitutes acceptance of the revised Terms
• Participants who do not agree with modified Terms must immediately cease participation
• Previous versions of these Terms are available upon written request to legal@bizeneed.in

Bizeneed reserves the right to terminate or suspend your participation in the Referral Program at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to: breach of these Terms or any other agreement with Bizeneed; participation in any prohibited activities as described herein; providing false, misleading, or inaccurate information; failure to provide required KYC or banking details; engaging in fraudulent or illegal activities; or any conduct that Bizeneed, in its sole discretion, deems harmful to its business, reputation, or other participants. Upon termination or suspension, all pending rewards and payouts may be forfeited, and you will be required to cease all use of your referral links and codes. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect. You may voluntarily terminate your participation at any time by contacting legal@bizeneed.in.

• Bizeneed may terminate or suspend your participation at any time, with or without cause or notice
• Grounds for termination include breach of Terms, prohibited activities, fraud, or providing false information
• All pending rewards and payouts may be forfeited upon termination for cause
• Upon termination, you must immediately cease all use of referral links and codes
• Provisions relating to limitation of liability, governing law, and dispute resolution survive termination
• You may voluntarily terminate your participation by contacting legal@bizeneed.in
• Terminated participants are not entitled to any compensation for unused or pending rewards

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your participation in the Referral Program, including but not limited to loss of profits, loss of revenue, loss of anticipated rewards, loss of data, or any other financial loss, even if Bizeneed has been advised of the possibility of such damages. Bizeneed does not guarantee any specific level of rewards, earnings, or outcomes from participation in the Program. Rewards are subject to actual qualifying referrals and payments received from Referred Clients. Bizeneed shall not be liable for any losses arising from tracking failures, technical issues, fraud by third parties, or any circumstances beyond its reasonable control. The total aggregate liability of Bizeneed arising from or relating to the Program shall not exceed the total rewards paid or payable to you in the preceding 6 months.

• Bizeneed does not guarantee any specific level of rewards, earnings, or outcomes from the Program
• No liability for any indirect, incidental, special, consequential, or punitive damages of any kind
• No liability for loss of profits, revenue, anticipated rewards, data, or any other financial loss
• Not liable for tracking failures, technical issues, or fraud by third parties
• Aggregate liability limited to rewards paid or payable in the preceding 6 months
• Not liable for losses arising from circumstances beyond our reasonable control including force majeure events
• Nothing herein excludes liability for death or personal injury caused by our negligence or for fraud

These Referral Program Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or your participation in the Program. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation within the stipulated period, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent of both parties. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding on all parties.

• These Terms are governed by the laws of India without regard to conflict of law provisions
• Courts in New Delhi, Delhi, India have exclusive jurisdiction over all disputes
• Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
• Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
• Seat of arbitration: New Delhi, Delhi, India; Language of arbitration: English
• The arbitration award shall be final and binding on all parties
• Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction

We reserve the right to update, modify, or replace any part of these Referral Program Terms & Conditions at any time without prior notice. Changes will be effective immediately upon posting on the Bizeneed platform. It is your responsibility to review these Terms periodically for any updates. The 'Last updated' date at the top of this page indicates when these Terms were last revised. Your continued participation in the Program following the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must immediately discontinue your participation in the Program. Material changes to the Program structure, commission rates, or payout terms will be communicated to registered participants via email or through an in-platform notification at least 7 days before the effective date of such changes.

• These Terms may be updated, modified, or replaced at any time without prior notice
• Changes are effective immediately upon posting on the Bizeneed platform
• The Last updated date indicates when these Terms were last revised
• Continued participation in the Program after changes constitutes acceptance of the revised Terms
• Material changes will be communicated to registered participants at least 7 days in advance
• Participants who do not agree with updated Terms must immediately discontinue participation
• Previous versions of these Terms are available upon written request to legal@bizeneed.in
