These Terms & Conditions govern the Payroll Management services offered through the Bizeneed platform, including payroll processing, salary disbursement, statutory compliance, and year-end tax filing services. By engaging our payroll management services, you agree to be bound by these Terms in their entirety.

Introduction

Welcome to Bizeneed India Private Limited. These Terms & Conditions govern the Payroll Management services offered through our Platform. They constitute a legally binding agreement between you ('User', 'you', or 'your') and Bizeneed India Private Limited ('Company', 'we', 'us', or 'our') governing your engagement for payroll processing, salary disbursement, payroll compliance, and related human resource management services. These Terms are framed in accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Payment of Wages Act, 1936, the Employees' Provident Fund Act, 1952, the Employees' State Insurance Act, 1948, the Professional Tax Act, and all other applicable Indian labour laws and regulations. Please read these Terms carefully before availing our payroll management services.

  • These Terms govern all users including employers, businesses, LLPs, partnerships, proprietorships, and corporate entities availing payroll management services
  • The Platform operates as a technology-enabled intermediary providing payroll processing and compliance management services
  • By submitting payroll data or engaging our services, you confirm you have read, understood, and agree to these Terms
  • If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms
  • Continued engagement with our payroll services after any modifications to these Terms constitutes acceptance of the updated Terms

Scope of Services

Bizeneed India Private Limited provides comprehensive payroll management services designed to streamline and automate salary processing for businesses of all sizes. Our services include end-to-end payroll processing with salary calculations based on attendance, leave, and statutory deductions, salary disbursement through direct bank transfers or cheques, statutory compliance management including PF, ESI, TDS, Professional Tax, and Labour Welfare Fund deductions and filings, generation and distribution of salary slips, Form 16, and other statutory documents, leave and attendance management integration, year-end tax computation and Form 16 preparation, and advisory on payroll structuring, statutory updates, and compliance requirements. We act as a payroll processing partner and do not constitute an employer-employee relationship with your employees. All statutory obligations remain the responsibility of the employer.

  • End-to-end payroll processing with salary, allowance, and deduction calculations
  • Salary disbursement through direct bank transfers, NEFT/RTGS/IMPS, or physical cheques
  • Statutory compliance management including PF, ESI, TDS, Professional Tax, and LWF
  • Generation and distribution of salary slips, Form 16, and other statutory documents
  • Leave and attendance management integration for accurate payroll computation
  • Year-end tax computation, Form 16 preparation, and annual return filings
  • Advisory on payroll structuring, statutory updates, and compliance requirements

Obligations of the User

As a user availing Payroll Management services through Bizeneed, you agree to provide accurate, complete, and up-to-date employee data and payroll-related information on a timely basis. You are solely responsible for the accuracy of employee master data including personal details, salary structures, attendance records, leave records, and statutory identification numbers (UAN, ESI IP, TAN, PAN). You must ensure timely submission of attendance data, new joinings, exits, and salary revisions for each payroll cycle. You agree to maintain adequate funds in your designated account for salary disbursement prior to each payroll run, provide all necessary documents and information for statutory filings within prescribed timelines, and ensure compliance with all applicable labour laws and statutory requirements. Any delay or inaccuracy in data submission may result in processing delays, compliance issues, or additional charges.

  • Provide accurate and complete employee master data including personal details, salary structures, and statutory IDs (UAN, ESI IP, TAN, PAN)
  • Submit attendance records, leave records, and any salary revisions for each payroll cycle by the agreed deadline
  • Ensure adequate funds are available in the designated account for salary disbursement before each payroll run
  • Notify Bizeneed immediately of new joinings, exits, salary revisions, and any changes to employee data
  • Provide all necessary documents and information for statutory filings within prescribed timelines
  • Ensure compliance with all applicable labour laws, statutory requirements, and regulatory obligations
  • Review and approve payroll computations before salary disbursement
  • Authorise Bizeneed to deduct and remit statutory dues on your behalf as per applicable laws

Fees & Payment

Payroll management service fees are as communicated at the time of engagement and become binding upon acceptance. Fees are typically charged on a monthly basis per employee or as a fixed monthly retainer, depending on the service plan selected. Government fees, statutory contributions, penalties for late filings, and any third-party charges are billed separately and are payable in addition to our professional fees. All fees quoted are exclusive of applicable GST unless explicitly specified. Payments are due within 7 days of the payroll processing for each month. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law. We reserve the right to suspend payroll processing services for accounts with overdue payments exceeding 30 days. Refund eligibility is governed by our Refund Policy available at /refund-policy.

  • Service fees are as communicated at the time of engagement and are binding upon acceptance
  • Fees are typically charged monthly per employee or as a fixed monthly retainer
  • Government fees, statutory contributions, and third-party charges are billed separately
  • Late payments attract interest at 18% per annum calculated from the due date
  • Payments are due within 7 days of payroll processing for each month
  • Services may be suspended for accounts with overdue payments exceeding 30 days
  • Refund eligibility is governed by our Refund Policy at /refund-policy
  • All fees are exclusive of applicable GST unless explicitly specified

Timelines

Payroll processing is conducted on a monthly cycle as agreed upon during service onboarding. The standard payroll cycle is processed between the 25th and the last day of each month, with salary disbursement typically completed by the 1st or 2nd of the following month. Statutory filings including PF, ESI, TDS returns, and Professional Tax are completed within the prescribed timelines mandated by respective statutory authorities. Any delays in data submission by the employer may result in corresponding delays in processing and compliance filings. We aim to provide salary slips and other employee documents within 3 business days of payroll processing. Year-end documents including Form 16 are typically provided by end of April each year. Timelines are subject to statutory deadlines and the completeness of data provided.

  • Monthly payroll processing: 25th to last day of each month
  • Salary disbursement: Completed by the 1st or 2nd of the following month
  • Statutory filings (PF, ESI, TDS, Professional Tax): Completed within prescribed statutory timelines
  • Salary slips and employee documents: Provided within 3 business days of payroll processing
  • Year-end Form 16 and tax documents: Provided by end of April each year
  • Delays due to incomplete or late data submission by the employer are not the responsibility of Bizeneed
  • Emergency payroll runs may be processed within 48 hours upon request for additional charges

Confidentiality

Both parties agree to maintain strict confidentiality of all employee data, financial information, and business information disclosed during the payroll management engagement. You agree to keep confidential all payroll processing methodologies, software systems, and compliance workflows shared by Bizeneed. Bizeneed agrees to maintain the confidentiality of all employee data, salary information, financial records, and business information shared by you. We implement industry-standard security measures including encryption, access controls, and secure data storage to protect payroll data. Employee data will be shared with statutory authorities only as required by applicable laws for compliance filings. Confidentiality obligations shall survive the termination or completion of services for a period of 3 years. Upon termination, all data shall be returned or securely deleted as per your instruction.

  • You agree to keep confidential all payroll processing methodologies, software systems, and compliance workflows shared by Bizeneed
  • Bizeneed agrees to maintain strict confidentiality of all employee data, salary information, and financial records
  • Employee data is shared with statutory authorities only as required by applicable laws
  • Industry-standard security measures including encryption and access controls protect all payroll data
  • Confidentiality obligations survive termination or completion of services for 3 years
  • Upon termination, all data will be returned or securely deleted as per your instruction

Limitation of Liability

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any payroll management engagement shall not exceed the service fees paid by you for the specific month. We shall not be liable for any computation errors arising from inaccurate, incomplete, or delayed data provided by you, for statutory penalties, interest, or fines arising from non-compliance due to incorrect data or late submissions by the employer, or for any indirect, incidental, special, consequential, or punitive damages including loss of employee trust, reputational damage, or business disruption. You agree to indemnify and hold Bizeneed harmless against any claims, penalties, or losses arising from inaccurate data provided by you or non-compliance with labour laws. We are not liable for any losses arising from bank processing delays, payment gateway failures, or actions of third-party service providers.

  • Aggregate liability limited to service fees paid for the specific month
  • No liability for computation errors arising from inaccurate, incomplete, or delayed data provided by you
  • No liability for statutory penalties, interest, or fines arising from employer's non-compliance
  • No liability for indirect, incidental, special, consequential, or punitive damages
  • You agree to indemnify Bizeneed against claims arising from inaccurate data or non-compliance
  • Not liable for losses from bank processing delays, payment gateway failures, or third-party issues
  • Nothing in these Terms excludes liability for fraud or fraudulent misrepresentation by Bizeneed

Termination

Either party may terminate the payroll management service engagement by providing not less than 30 days' prior written notice. Bizeneed may terminate services immediately if you breach these Terms, fail to make payments when due, provide false or misleading employee data, or engage in any activities that violate applicable labour laws. Upon termination, all outstanding fees for services rendered become immediately due and payable. We will complete the current payroll cycle and provide all pending statutory filings upon termination. Upon request within 30 days of termination, employee data will be provided in a portable format or securely deleted as per your instruction. Confidentiality and data protection obligations survive termination.

  • Either party may terminate with not less than 30 days' prior written notice
  • Immediate termination for breach of Terms, non-payment beyond 30 days, or provision of false data
  • All outstanding fees for services rendered become immediately due and payable upon termination
  • The current payroll cycle and pending statutory filings will be completed upon termination
  • Employee data will be provided in portable format or securely deleted as per your instruction within 30 days
  • Confidentiality and data protection obligations survive termination

Dispute Resolution

Any dispute arising from or in connection with these Terms or the Payroll Management services shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. These Terms shall be governed by and construed in accordance with the laws of India. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute not resolved through arbitration.

  • Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
  • Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Seat of arbitration: New Delhi, Delhi, India; Language of arbitration: English
  • The arbitration award shall be final and binding on all parties
  • These Terms are governed by the laws of India without regard to conflict of law provisions
  • Courts in New Delhi, Delhi, India have exclusive jurisdiction for any remaining disputes
