Terms & Conditions - Payment Gateway Setup

Welcome to Bizeneed India Private Limited. These Terms & Conditions constitute a legally binding agreement between you ('User', 'you', or 'your') and Bizeneed India Private Limited ('Company', 'we', 'us', or 'our') governing your engagement for Payment Gateway Setup services, including Razorpay and Paytm integration. These Terms are framed in strict accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Payment and Settlement Systems Act, 2007, and all other applicable Indian laws and regulations. Please read these Terms carefully before engaging our services. By confirming your service engagement, providing the required information, or making any payment, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue the engagement process.

• These Terms govern all payment gateway setup engagements including Razorpay, Paytm, and other supported payment service providers
• The Platform acts as a technology-enabled service provider facilitating payment gateway setup and integration services
• By confirming an engagement or providing business details, you confirm you have read, understood, and agree to these Terms
• If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms
• Continued engagement and use of services after any modifications to these Terms constitutes acceptance of the updated Terms

Bizeneed India Private Limited provides end-to-end Payment Gateway Setup services including account creation, KYC documentation submission, merchant account configuration, payment link generation, payment button integration, UPI and card payment setup, Razorpay merchant account onboarding, Paytm Payment Gateway integration, settlement account linking, transaction routing configuration, and basic technical setup support. Our services cover the complete onboarding process with supported payment service providers as may be updated from time to time. The scope of each engagement is as specified in the respective service confirmation or order summary. We do not guarantee approval of payment gateway accounts by third-party providers, as approval is subject to the provider's own risk assessment policies. Any additional services beyond the agreed scope will be billed separately with your prior consent.

• Razorpay merchant account setup, KYC documentation, and payment gateway configuration
• Paytm Payment Gateway integration, account activation, and settlement setup
• Payment link creation, QR code generation, and payment button embedding support
• UPI, debit card, credit card, net banking, and wallet payment mode configuration
• Settlement account linking and transaction routing setup for seamless fund flow
• Basic technical integration support for websites and e-commerce platforms
• Assistance with compliance documentation required by payment service providers
• Scope may be extended to additional payment providers based on mutual agreement

You are required to provide accurate and complete business details including legal business name, registered address, PAN, GSTIN, contact information, authorised signatory details, and bank account information for settlement purposes. You must ensure all KYC documents submitted are valid, authentic, and not expired, and that all information provided during the onboarding process is accurate and complete. You agree to promptly notify Bizeneed of any changes to your business information, authorised signatories, or bank accounts. You are responsible for maintaining the security of your payment gateway credentials and for all transactions processed through your merchant account. You agree to comply with all applicable laws and regulations governing payment processing, including RBI guidelines, PMLA requirements, and NPCI regulations.

• Provide accurate and complete business details including legal name, registered address, PAN, and GSTIN
• Submit valid and authentic KYC documents for all authorised signatories and the business entity
• Provide correct and verified bank account details for settlement purposes
• Promptly notify Bizeneed of any changes to business information, authorised signatories, or bank accounts
• Maintain strict confidentiality of payment gateway credentials and API keys
• Comply with all applicable laws including RBI guidelines, PMLA requirements, and NPCI regulations
• Ensure all business activities conducted through the payment gateway comply with applicable laws
• Cooperate with Bizeneed and payment service providers for any additional verification or documentation requests
• Immediately report any unauthorised transactions or suspicious activity on your payment gateway account

Service fees for Payment Gateway Setup are as communicated in the service confirmation and become binding upon your acceptance. One-time setup fees cover the onboarding and configuration process as described in the scope. Government charges, if any, are billed separately and are payable in addition to our service fees. Payment must be made in full before the commencement of setup work unless otherwise agreed in writing. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. We reserve the right to suspend ongoing setup work for accounts with overdue payments exceeding 15 days. All fees are non-refundable once the setup process has commenced, except as specified in our Refund Policy.

• Service fees are as communicated in the service confirmation and are binding upon acceptance
• One-time setup fees cover the complete onboarding and configuration process as described in the scope
• Government charges and provider fees, if any, are billed separately in addition to our service fees
• Payment must be made in full before commencement of setup work unless otherwise agreed in writing
• Late payments attract interest at 18% per annum calculated from the due date to the date of actual payment
• Setup work may be suspended for accounts with overdue payments exceeding 15 days
• All fees are non-refundable once the setup process has commenced
• Refund eligibility is governed by our Refund Policy available at /refund-policy

The estimated timeline for Payment Gateway Setup is 5 to 10 business days from the date of receipt of all required documents, information, and payment. Delays in providing accurate information, KYC documents, or payment may extend the estimated timeline proportionally. Approval timelines by Razorpay, Paytm, or any other payment service provider are subject to their internal review processes and are beyond our control. We will make reasonable efforts to keep you informed of the progress and any issues encountered during the setup process. Any change in timelines due to reasons attributable to you will be communicated promptly. The estimated timelines are indicative and not guaranteed. We shall not be liable for any delays caused by third-party payment service providers or regulatory authorities.

• Estimated setup timeline: 5 to 10 business days from receipt of all required documents and payment
• Delays in providing accurate information or documents may extend the timeline proportionally
• Provider approval timelines are subject to the payment service provider's internal review processes
• Progress updates will be communicated at key milestones throughout the setup process
• Estimated timelines are indicative and not guaranteed by Bizeneed
• Delays caused by third-party providers or regulatory authorities are beyond our control
• Expedited processing may be available on request subject to additional charges

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement. This includes business details, financial information, KYC documents, bank account details, payment gateway credentials, API keys, and any other confidential information disclosed by either party. You agree not to disclose any confidential information obtained from Bizeneed to any third party without prior written consent. Bizeneed agrees to implement reasonable security measures to protect your confidential information and will not share your business or financial details with any unauthorised third party. This confidentiality obligation shall survive the termination or completion of the engagement for a period of three years.

• Both parties agree to maintain confidentiality of all proprietary and sensitive information exchanged during the engagement
• Business details, financial information, KYC documents, and bank account details shall be kept strictly confidential
• Payment gateway credentials, API keys, and integration details shall not be shared with unauthorised third parties
• You agree not to disclose any confidential information obtained from Bizeneed without prior written consent
• Bizeneed implements reasonable security measures to protect your confidential information
• Confidentiality obligations survive the termination or completion of the engagement for 3 years
• Disclosure may be made if required by applicable law, regulation, or court order

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any payment gateway setup engagement shall not exceed the service fees paid by you for the specific engagement. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of transaction data, payment processing delays, chargebacks, fraud losses, or any financial loss arising from the use or inability to use the payment gateway. We are not liable for rejection or suspension of merchant accounts by payment service providers, technical failures of payment gateways, or losses arising from inaccurate information provided by you.

• Aggregate liability limited to the service fees paid for the specific payment gateway setup engagement
• No liability for indirect, incidental, special, consequential, or punitive damages of any kind
• No liability for loss of profits, transaction data, or losses due to payment processing delays
• Not liable for chargebacks, fraud losses, or disputes between you and your customers
• Not liable for rejection, suspension, or termination of merchant accounts by payment service providers
• Not liable for technical failures, downtime, or service interruptions of payment gateway services
• Not liable for losses arising from inaccurate, incomplete, or delayed information provided by you
• Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud

Either party may terminate the service engagement by providing not less than 15 days' prior written notice to the other party. If termination is initiated by you after the setup process has commenced, fees for work already completed and expenses incurred shall be payable in full. Bizeneed may terminate the engagement immediately if you breach these Terms, provide false or misleading information, fail to make payments when due, or engage in any activities that violate applicable laws or harm our business interests. Upon termination, all outstanding fees and charges become immediately due and payable. Provisions of these Terms relating to confidentiality, liability, dispute resolution, and intellectual property shall survive termination.

• Either party may terminate with not less than 15 days' prior written notice
• If terminated by you after setup has commenced, fees for completed work are payable in full
• Bizeneed may immediately terminate for breach of Terms, non-payment, or provision of false information
• All outstanding fees and charges become immediately due and payable upon termination
• Provisions relating to confidentiality, liability, and dispute resolution survive termination
• Payment gateway credentials and access details will be shared upon request at the time of closure

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the payment gateway setup services. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding.

• These Terms are governed by the laws of India without regard to conflict of law provisions
• Courts in New Delhi, Delhi, India have exclusive jurisdiction over all disputes
• Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
• Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
• Seat of arbitration: New Delhi, Delhi, India; Language: English
• The arbitration award shall be final and binding on all parties
• Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
