These Terms & Conditions constitute a legally binding agreement between you and Bizeneed India Private Limited governing your engagement for MSME/Udyam registration and related compliance services. These Terms are framed in accordance with the Micro, Small and Medium Enterprises Development Act, 2006, the Udyam Registration portal guidelines, the Information Technology Act, 2000, the Indian Contract Act, 1872, and other applicable Indian laws. By submitting a service request, making a payment, or providing any documentation, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Introduction
Welcome to Bizeneed India Private Limited. These Terms & Conditions constitute a legally binding agreement between you ("Enterprise", 'you', or 'your') and Bizeneed India Private Limited ("Company", 'we', 'us', or 'our') specifically governing your engagement for MSME/Udyam registration and related compliance services through the Bizeneed platform. These Terms are framed in strict accordance with the Micro, Small and Medium Enterprises Development Act, 2006, the Udyam Registration portal guidelines issued by the Ministry of Micro, Small and Medium Enterprises, the Information Technology Act, 2000, the Indian Contract Act, 1872, and all other applicable Indian laws and regulations. Please read these Terms carefully before availing our MSME/Udyam services. By submitting a service request, making a payment, or providing any documentation, you agree to be bound by these Terms in their entirety.
- These Terms apply specifically to all MSME/Udyam registration and compliance service engagements through Bizeneed
- The Platform acts as a technology-enabled intermediary connecting enterprises with qualified MSME compliance professionals
- By submitting a service request, you confirm you have read, understood, and agree to these Terms
- If you act on behalf of an enterprise or legal entity, you represent that you have the authority to bind that entity to these Terms
- Continued engagement for MSME/Udyam services after modifications to these Terms constitutes acceptance of the updated Terms

Scope
These Terms govern all MSME/Udyam-related services offered through the Bizeneed platform, including: (a) Udyam Registration on the official portal (udyamregistration.gov.in) for micro, small, and medium enterprises; (b) MSME classification and enterprise category determination based on investment in plant and machinery/equipment and annual turnover; (c) MSME benefits guidance including priority sector lending, collateral-free loans, government tenders, and tax rebates; (d) Udyam registration modification services for changes in business details, investment, turnover, or address; (e) Udyam registration revalidation and compliance guidance; (f) MSME scheme benefit applications including CGTMSE (Credit Guarantee Fund Trust for Micro and Small Enterprises); (g) MSME registration for manufacturing and service enterprises; and (h) Any other MSME/Udyam-related services as may be offered from time to time. Services are rendered by independent qualified professionals and consultants.

- Udyam registration revalidation and compliance guidance throughout the registration validity
- MSME scheme benefit applications including CGTMSE and other government schemes
- Any ancillary services related to MSME/Udyam compliance as may be offered from time to time
Obligations
You agree to provide accurate, complete, and up-to-date information and documentation as required for MSME/Udyam registration. This includes: (a) Providing Aadhaar number of the proprietor/authorised signatory for individual enterprises, or PAN of the enterprise for partnerships/companies; (b) Providing complete business details including name, type of organisation, PAN, address, and mobile number; (c) Providing details of plant and machinery/equipment investment and annual turnover for MSME classification; (d) Providing bank account details including IFSC code and account number; (e) Providing GSTIN if applicable; (f) Providing incorporation certificate for companies/LLPs and partnership deed for partnership firms; (g) Providing NIC (National Industrial Classification) code for your business activity; (h) Providing details of employees and investment in plant and machinery/equipment; and (i) Timely responding to queries from MSME authorities and providing any additional information requested during the application process.

- Submit complete business details including name, type, PAN, address, and mobile number
- Provide details of plant and machinery/equipment investment and annual turnover for MSME classification
- Provide bank account details including IFSC code and account number
- Provide GSTIN if applicable and registered for Goods and Services Tax
- Provide incorporation certificate for companies/LLPs and partnership deed for firms
- Provide NIC (National Industrial Classification) code for your primary business activity
- Provide details of employees and investment in plant and machinery/equipment
- Respond promptly to queries from MSME authorities during the registration process
Fees & Payment
Our professional fees for MSME/Udyam services are as communicated at the time of engagement and become binding upon acceptance by you. Udyam Registration on the official portal is completely free of cost as per Government of India guidelines. However, our professional fees cover advisory, documentation, and submission support services. Government fees, if any applicable for ancillary services, are billed separately and are payable in addition to our professional fees. All fees are quoted inclusive or exclusive of GST as explicitly specified at the time of quoting. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. We reserve the right to suspend or restrict service delivery for accounts with overdue payments exceeding 30 days. No Udyam application will be processed until the agreed fees have been received in full. Refund eligibility for MSME/Udyam services is governed by our Refund Policy.

- Our fees cover advisory, documentation, form preparation, and submission support services
- Fees are inclusive or exclusive of GST as explicitly stated in the invoice or quotation
- Late payments attract interest at 18% per annum calculated from the due date to the date of actual payment
- Udyam applications are not processed until full payment has been received
- Services may be suspended for accounts with overdue payments exceeding 30 days
- Refund eligibility is governed by our Refund Policy available at /refund-policy
Timelines
The estimated timelines for MSME/Udyam services are indicative and subject to the efficiency and processing times of the Udyam Registration portal and MSME authorities. Standard estimated timelines are: (a) Udyam Registration (new): 1-3 working days from the date of complete document submission and verification; (b) Udyam Registration modification: 2-5 working days from the date of complete modification request submission; (c) MSME benefits guidance session: same day or within 1 working day of registration completion; (d) CGTMSE scheme guidance: 3-7 working days from the date of request. Timelines are subject to delays caused by incomplete documentation, portal technical issues, changes in government procedures, force majeure events, or any other reasons beyond our reasonable control. The actual registration certificate is generated by the government portal and timelines depend on portal processing.
- Udyam Registration (new): estimated 1-3 working days from complete document submission
- Udyam Registration modification: estimated 2-5 working days from complete modification request
- MSME benefits guidance: same day or within 1 working day of registration completion
- CGTMSE scheme guidance: estimated 3-7 working days from the date of request
- Timelines are indicative and subject to Udyam portal processing times and procedures
- Delays caused by incomplete documentation or portal technical issues are not included in timelines
- The registration certificate is generated by the government portal and depends on portal processing
Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, business data, financial information, and other sensitive information disclosed during the course of MSME/Udyam service engagement. You agree not to share your Udyam credentials, login details, or any proprietary information provided by Bizeneed with third parties. Bizeneed agrees to protect your business information, financial data, personal details, and KYC documents in accordance with applicable data protection laws. Our professionals and staff are bound by confidentiality obligations and will not disclose your information to unauthorised parties. Confidentiality obligations shall survive termination of the service engagement for a period of 5 years or as required by applicable law.
- Both parties agree to maintain confidentiality of all proprietary and sensitive information
- You must not share Udyam credentials, login details, or proprietary information with unauthorised third parties
- Bizeneed will protect your business information, financial data, personal details, and KYC documents per applicable laws
- Our professionals are bound by confidentiality obligations and will not disclose your information
- You must not disclose Bizeneed's processes, methodologies, pricing, or business strategies
- Confidentiality obligations survive termination of service engagement for 5 years
Limitation of Liability
To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability for any MSME/Udyam service engagement shall not exceed the professional fees paid by you for that specific service. We are not responsible for any delays, technical errors, or issues caused by the Udyam Registration portal, MSME authorities, or any other government body. We do not guarantee the issuance of Udyam Registration Certificate, as final approval rests solely with the government portal and authorities. We shall not be liable for any loss of business opportunities, loss of MSME benefits, loss of revenue, or consequential damages arising from delays in registration, technical issues with the portal, or any actions taken by government authorities.
- Aggregate liability limited to professional fees paid for the specific MSME/Udyam service
- No liability for delays, technical errors, or issues caused by the Udyam Registration portal or government bodies
- No guarantee of Udyam Registration Certificate as final approval rests with the government portal
- No liability for loss of business opportunities, MSME benefits, revenue, or consequential damages
- Not liable for outcomes caused by inaccurate or incomplete information provided by you
- No liability for service interruptions due to force majeure or government portal technical issues
Termination
Either party may terminate the MSME/Udyam service engagement by providing not less than 15 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate services without prior notice if you breach these Terms, provide false or misleading information, fail to make payments when due, or engage in activities that harm our business interests. Upon termination, all outstanding fees for services already rendered become immediately due and payable. Documents submitted by you will be returned within 15 days of termination request. Any Udyam application filed with authorities on your behalf will not be withdrawn without your explicit written consent. Provisions of these Terms that by their nature should survive termination shall remain in full force and effect.
- Either party may terminate with not less than 15 days' prior written notice
- We may immediately terminate for breach of Terms, non-payment beyond 30 days, or fraudulent activity
- All outstanding fees for services rendered become immediately due upon termination
- Documents submitted will be returned within 15 days of termination request
- Udyam applications already filed will not be withdrawn without your explicit written consent
- Provisions relating to confidentiality, liability, and dispute resolution survive termination
Dispute Resolution
Any dispute arising from or in connection with these Terms or MSME/Udyam services shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding. These Terms are governed by the laws of India without regard to conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute not resolved through arbitration.
- Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
- Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
- Seat of arbitration: New Delhi, Delhi, India; Language: English
- The arbitration award shall be final and binding on all parties
- These Terms are governed by the laws of India without regard to conflict of law provisions
- Courts in New Delhi, Delhi, India have exclusive jurisdiction over any dispute not resolved through arbitration
