These Terms & Conditions govern your engagement for Legal Drafting services, including legal document preparation, review, and vetting, offered by Bizeneed India Private Limited. These Terms are framed in accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and other applicable Indian laws. By confirming your service engagement or providing the required information, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Introduction

Welcome to Bizeneed India Private Limited. These Terms & Conditions constitute a legally binding agreement between you ('User', 'you', or 'your') and Bizeneed India Private Limited ('Company', 'we', 'us', or 'our') governing your engagement for Legal Drafting services, including document preparation, review, and vetting. These Terms are framed in strict accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and all other applicable Indian laws and regulations. Please read these Terms carefully before engaging our services. By confirming your service engagement, providing the required information, or making any payment, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must immediately discontinue the engagement process.

  • These Terms govern all legal drafting engagements including document preparation, review, and vetting services
  • The Platform acts as a technology-enabled service provider connecting you with qualified legal professionals
  • By confirming an engagement or providing information, you confirm you have read, understood, and agree to these Terms
  • If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity to these Terms
  • Continued engagement and use of services after any modifications to these Terms constitutes acceptance of the updated Terms

Scope

Bizeneed India Private Limited provides professional Legal Drafting services including preparation and drafting of legal documents such as agreements, contracts, Memoranda of Understanding (MoUs), terms sheets, notices, legal opinions, deeds, affidavits, and other legal instruments. Our services also cover legal document review, contract vetting, identification of legal risks, suggested modifications and redlining, compliance checks against applicable laws and regulations, and advisory support on document structure and legal sufficiency. The nature, scope, and deliverables of each engagement are as specified in the respective service confirmation or order summary. We do not provide litigation services, representation before courts or tribunals, or legal advisory services beyond document drafting and review unless explicitly agreed in writing.

  • Drafting of commercial agreements, contracts, and Memoranda of Understanding (MoUs)
  • Preparation of terms sheets, legal opinions, deeds, affidavits, and other legal instruments
  • Review and vetting of existing legal documents for legal sufficiency and risk identification
  • Contract redlining and suggested modifications to align with your commercial objectives
  • Compliance checks against applicable laws including the Companies Act, 2013, Contract Act, and other relevant statutes
  • Advisory support on document structure, enforceability, and best practices
  • Due diligence review of contracts and legal documents prior to execution
  • Scope may be extended to additional document types based on mutual agreement

Obligations

You are required to provide clear and complete requirements for the documents to be drafted, including the purpose, parties involved, key terms, and any specific clauses or conditions. You must ensure all facts, data, and information provided for inclusion in legal documents are accurate, complete, and verified. You agree to review draft documents promptly and provide feedback, comments, and change requests within the agreed timelines. You acknowledge that legal documents prepared by Bizeneed are for informational and professional assistance purposes and do not constitute legal advice unless explicitly stated. You are responsible for seeking independent legal counsel before executing any legal document for matters of significant legal consequence.

  • Provide clear and complete requirements including purpose, parties, key terms, and specific clauses
  • Ensure all facts, data, and information provided for document preparation are accurate and verified
  • Review draft documents promptly and provide feedback within the agreed timelines
  • Inform Bizeneed of any changes in requirements or facts that may affect the drafted documents
  • Acknowledge that drafted documents are for professional assistance and do not constitute legal advice unless explicitly stated
  • Seek independent legal counsel before executing documents for matters of significant legal consequence
  • Comply with all applicable laws and regulations governing the subject matter of the documents
  • Not use drafted documents for any unlawful, fraudulent, or unauthorised purposes
  • Maintain confidentiality of all draft documents and legal materials shared during the engagement

Fees & Payment

Service fees for Legal Drafting are as communicated in the service confirmation and become binding upon your acceptance. Fees may be structured as per-document, per-page, or package-based as mutually agreed. Revisions beyond the agreed number of revision rounds may attract additional charges, which will be communicated before proceeding. Government fees, stamp duties, notary charges, and registration fees, if applicable, are billed separately and are payable in addition to our service fees. Payment must be made as per the schedule specified in the service confirmation. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law, calculated from the due date until the date of actual payment. We reserve the right to suspend ongoing work for overdue payments exceeding 15 days. All fees are non-refundable once work has commenced, except as specified in our Refund Policy.

  • All fees are non-refundable once work has commenced

Timelines

The estimated timeline for Legal Drafting services is 3 to 10 business days from the date of receipt of all required information and payment, depending on the complexity and scope of the engagement. Simple documents such as standard agreements may be delivered within 3 to 5 business days, while complex documents such as multi-party agreements or comprehensive legal opinions may take 7 to 10 business days. Delays in providing complete requirements, factual information, or payment may extend the estimated timeline proportionally. We will make reasonable efforts to meet the agreed timelines and will promptly notify you of any anticipated delays. Rush or expedited services may be available on request subject to additional charges. The estimated timelines are indicative and not guaranteed.

  • Estimated timeline: 3 to 10 business days depending on document complexity and scope
  • Simple documents (standard agreements): 3 to 5 business days
  • Complex documents (multi-party agreements, legal opinions): 7 to 10 business days
  • Delays in providing requirements or information may extend the timeline proportionally
  • Progress updates will be communicated at key milestones throughout the drafting process
  • Rush or expedited services may be available on request subject to additional charges
  • Estimated timelines are indicative and not guaranteed

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement. This includes business information, financial data, commercial terms, draft documents, legal opinions, and any other confidential information disclosed by either party. You agree not to disclose any confidential information obtained from Bizeneed to any third party without prior written consent. Bizeneed agrees to implement reasonable security measures to protect your confidential information and will not share your business or legal information with any unauthorised third party. Draft documents and all work product shall remain confidential until formally released to you. This confidentiality obligation shall survive the termination or completion of the engagement for a period of three years.

  • Business information, financial data, commercial terms, and draft documents shall be kept strictly confidential
  • You agree not to disclose any confidential information obtained from Bizeneed without prior written consent
  • Bizeneed implements reasonable security measures to protect your confidential information
  • Draft documents and work product remain confidential until formally released to you
  • Confidentiality obligations survive the termination or completion of the engagement for 3 years
  • Disclosure may be made if required by applicable law, regulation, or court order

Limitation of Liability

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any legal drafting engagement shall not exceed the service fees paid by you for the specific engagement. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, damages arising from the use or non-use of drafted documents, or any financial loss arising from the use or inability to use our services, even if we have been advised of the possibility of such damages. You acknowledge that legal documents are subject to interpretation by courts and tribunals and that Bizeneed does not guarantee the outcome of any legal proceedings or the enforceability of any drafted document.

  • Aggregate liability limited to the service fees paid for the specific legal drafting engagement
  • No liability for indirect, incidental, special, consequential, or punitive damages of any kind
  • No liability for loss of profits, business opportunities, or damages arising from document use or non-use
  • No guarantee of enforceability of drafted documents or outcome of any legal proceedings
  • Not liable for losses arising from inaccurate, incomplete, or delayed information provided by you
  • Not liable for changes in applicable laws or regulations after document delivery
  • Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud

Termination

Either party may terminate the service engagement by providing not less than 15 days' prior written notice to the other party. If termination is initiated by you after drafting work has commenced, fees for work already completed and expenses incurred shall be payable in full. Bizeneed may terminate the engagement immediately if you breach these Terms, provide false or misleading information, fail to make payments when due, or engage in any activities that violate applicable laws or harm our business interests. Upon termination, all outstanding fees and charges become immediately due and payable. Provisions of these Terms relating to confidentiality, liability, dispute resolution, and intellectual property shall survive termination.

  • Either party may terminate with not less than 15 days' prior written notice
  • If terminated by you after work has commenced, fees for completed work are payable in full
  • Bizeneed may immediately terminate for breach of Terms, non-payment, or provision of false information
  • All outstanding fees and charges become immediately due and payable upon termination
  • Provisions relating to confidentiality, liability, and dispute resolution survive termination
  • Final deliverables and completed work product will be shared upon request at the time of closure

Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the legal drafting services. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding.

  • These Terms are governed by the laws of India without regard to conflict of law provisions
  • Courts in New Delhi, Delhi, India have exclusive jurisdiction over all disputes
  • Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
  • Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Seat of arbitration: New Delhi, Delhi, India; Language: English
  • The arbitration award shall be final and binding on all parties
  • Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
