These Terms and Conditions govern the company income tax return (ITR) filing services offered by Bizeneed to corporate entities, private limited companies, and other corporate bodies across India. These Terms are framed in strict accordance with the Information Technology Act, 2000, the Companies Act, 2013, the Income Tax Act, 1961, and all other applicable Indian laws. By engaging our company ITR filing services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Introduction

Welcome to Bizeneed India Private Limited. These Terms and Conditions govern the company income tax return (ITR) filing services offered by Bizeneed to corporate entities, private limited companies, public limited companies, section 8 companies, and other corporate bodies across India. These Terms are framed in strict accordance with the Information Technology Act, 2000, the Indian Contract Act, 1872, the Companies Act, 2013, the Income Tax Act, 1961, and all other applicable Indian laws and regulations. By engaging our company ITR filing services, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must discontinue the use of our services immediately.

  • These Terms apply to all corporate entities availing ITR filing services through the Bizeneed platform
  • Bizeneed acts as a technology-enabled intermediary connecting companies with qualified Chartered Accountants and tax professionals
  • By submitting an engagement request, you confirm that you have read, understood, and agree to these Terms
  • If you are acting on behalf of the company, you represent that you have the authority to bind the company to these Terms
  • Continued engagement after any modifications to these Terms constitutes acceptance of the updated Terms

Scope

Bizeneed's company ITR filing services cover the preparation, review, and e-filing of income tax returns for corporate entities under the applicable provisions of the Income Tax Act, 1961. Our services include preparation and e-filing of ITR-6 for companies other than those claiming exemption under Section 11 of the Income Tax Act, tax audit compliance under Section 44AB including preparation of Form 3CD, transfer pricing documentation and Form 3CEB filing for specified domestic and international transactions, advance tax computation, calculation, and quarterly payment assistance, minimum alternate tax (MAT) and alternative minimum tax (AMT) computation, TDS/TCS return filing and quarterly reconciliation, dividend distribution tax compliance where applicable, assessment year-specific advisory and compliance planning, response to income tax notices and scrutiny proceedings, and liaison with tax authorities on behalf of the company.

  • ITR-6 filing for companies not claiming exemption under Section 11 of the Income Tax Act, 1961
  • Tax audit compliance under Section 44AB including preparation and submission of Form 3CD
  • Transfer pricing documentation, benchmarking study, and Form 3CEB filing for specified transactions
  • Advance tax computation and quarterly payment assistance for corporate taxpayers

  • TDS and TCS return filing (Form 24Q, 26Q, 27Q, 27EQ) with quarterly reconciliation

  • Response to income tax notices including scrutiny, intimation, and demand proceedings
  • Assessment year-specific advisory and strategic tax planning for corporate entities
  • Liaison with income tax authorities and facilitation of assessment proceedings

Client Obligations

As a corporate client availing company ITR filing services, the company and its authorised representatives are required to provide all necessary documents, information, and declarations accurately and within the timelines communicated by Bizeneed. The company must ensure that all information submitted for tax filing is true, complete, and verifiable. The company is solely responsible for the correctness and completeness of all information and documents provided. Any incorrect, incomplete, or misleading information may result in penalties, prosecution, or adverse legal consequences for the company and its officers under the Income Tax Act, 1961 and the Companies Act, 2013. The company agrees to promptly notify Bizeneed of any changes in its structure, management, or financial affairs that may affect the tax return.

  • Provide audited financial statements (balance sheet, profit and loss account, cash flow statement) for the relevant assessment year
  • Submit tax audit report (Form 3CD/3CB) prepared by the statutory auditor under Section 44AB
  • Provide board resolution authorising the filing of income tax return and naming authorised signatories
  • Submit Form 26AS, AIS, and TIS downloaded from the income tax portal for the relevant period
  • Provide TDS challans, TDS returns (Forms 24Q, 26Q, 27Q), and TDS certificates (Form 16, 16A, 16B, 16C)
  • Disclose details of all domestic and international transactions for transfer pricing compliance
  • Provide details of related-party transactions, loan agreements, and corporate guarantee arrangements
  • Submit computation of total income with supporting schedules for all income sources
  • Provide details of deductions claimed, carry-forward losses, and set-off of losses
  • Submit proof of advance tax payments, TDS credits, and self-assessment tax payments
  • Review and confirm the draft return before e-filing
  • Obtain board approval for the final return before submission

Fees & Payment

Service fees for company ITR filing are higher than individual filing fees and are as communicated at the time of engagement based on the complexity of the company's operations, number of income streams, and additional requirements such as tax audit, transfer pricing, and notice handling. Fees vary significantly based on turnover, nature of business, complexity of transactions, number of branches, and additional compliance requirements. All fees are quoted exclusive of applicable GST, auditor fees, and any government fees, which shall be charged additionally. Payment is due upon engagement confirmation and before the commencement of service delivery unless otherwise agreed in writing. Late payments may attract interest at 18% per annum or the maximum rate permitted under applicable law. We reserve the right to withhold filing or related services for overdue payments exceeding 15 days.

  • Service fees are higher for corporate clients and vary based on turnover, business complexity, and additional compliance requirements
  • Additional charges apply for tax audit assistance, transfer pricing documentation, and scrutiny handling
  • All fees are quoted exclusive of applicable GST unless explicitly stated otherwise
  • Government fees, statutory auditor fees, and out-of-pocket expenses are billed separately
  • Payment is due upon engagement confirmation and before service commencement
  • Late payments attract interest at 18% per annum from the due date until actual payment
  • Services may be withheld for accounts with overdue payments exceeding 15 days
  • Additional charges apply for rework due to incorrect, incomplete, or misleading information provided by the company
  • Fees for post-filing services (notice handling, revised returns, appeals, etc.) are billed separately

Timelines

Standard turnaround time for company ITR filing services is between 30 to 60 days from the date of receipt of all required documents and complete information. The actual timeline may vary depending on the complexity of business operations, the requirement for tax audit, transfer pricing documentation, number of branches and entities, availability of complete documentation, response time for clarifications, and the statutory due date. Rush filing services may be available for an additional fee. Companies with complex operations, multiple subsidiaries, international transactions, or under tax audit scrutiny should initiate the process well in advance. We shall make reasonable efforts to meet the statutory due dates for corporate tax filing, but we are not liable for delays caused by factors beyond our reasonable control, including but not limited to late submission of documents by the company, technical issues with the income tax portal, changes in law or procedure, auditor delays, or force majeure events.

  • Standard company ITR filing: 30-45 days from receipt of complete documents and financials
  • Complex returns (tax audit, transfer pricing, multiple entities): 45-60 days
  • Tax audit and transfer pricing documentation requires additional time and should be initiated well in advance
  • Last-minute filings close to the due date may attract premium charges
  • Rush filing services available on request for an additional fee
  • Notice handling timelines depend on the type of notice and time available for response
  • Delays caused by incomplete or late submission of documents by the client are not counted toward standard timelines
  • We are not liable for missed deadlines caused by income tax portal issues, legal changes, auditor delays, or force majeure
  • Companies are strongly advised to initiate the filing process at least 60 days before the statutory due date

Confidentiality

Bizeneed India Private Limited is committed to protecting the confidentiality and privacy of all corporate, financial, and tax-related information shared by our corporate clients. We implement appropriate technical, administrative, and physical safeguards to protect your data from unauthorised access, alteration, disclosure, or destruction. We do not share, sell, rent, or disclose your corporate information to third parties except as required for the provision of our services (such as to our tax professionals, statutory auditors, or regulatory authorities), as required by applicable law or legal process, or with your explicit written consent. Our tax professionals and staff are bound by confidentiality obligations. The company is also expected to maintain the confidentiality of any drafts, computations, or interim documents shared during the service engagement.

  • All corporate, financial, and tax-related information shared by the company is treated as strictly confidential
  • We implement appropriate technical and administrative safeguards to protect corporate data
  • Corporate information is not shared with third parties except as required for service delivery, legal compliance, or with explicit written consent
  • Our professionals and staff are bound by confidentiality obligations
  • Companies are expected to maintain confidentiality of drafts, computations, and interim documents
  • Data is retained only as long as necessary for service delivery and legal compliance
  • Companies may request deletion of data after service completion, subject to legal retention requirements

Limitation of Liability

To the maximum extent permitted under applicable Indian law, including the Information Technology Act, 2000 and the Consumer Protection Act, 2019, Bizeneed India Private Limited's aggregate liability under any service engagement or claim arising from these Terms or the use of our services shall not exceed the service fees paid by the company for the specific ITR filing service in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of tax benefits, loss of refunds, penalties from tax authorities, loss of data, reputational damage, or any other financial loss arising from the use or inability to use our services. We are not liable for penalties, interest, or adverse outcomes arising from incorrect, incomplete, or misleading information provided by the company or its authorised representatives. We are also not liable for delays, rejections, or adverse outcomes caused by the Income Tax Department, NSDL, UTIITSL, or any other government authority or third-party service provider.

  • Aggregate liability limited to fees paid for the specific company ITR filing service in the preceding 12 months
  • No liability for indirect, incidental, special, consequential, or punitive damages of any kind
  • No liability for penalties, interest, or adverse outcomes from incorrect or incomplete information provided by the company
  • Not liable for delays, rejections, or adverse outcomes caused by the Income Tax Department or third-party service providers
  • Not liable for loss of tax benefits, refunds, MAT credits, or deductions due to late filing, incorrect filings, or information errors
  • No liability for service interruptions due to income tax portal issues, government actions, or force majeure events
  • Nothing in these Terms excludes liability for fraud or fraudulent misrepresentation by Bizeneed

Termination

Either party may terminate the service engagement by providing not less than 15 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate services without prior notice if the company breaches these Terms, fails to make payments when due, provides false, misleading, or inaccurate information, or engages in any fraudulent activities. Upon termination, all outstanding fees and charges for services already rendered become immediately due and payable. We will make reasonable efforts to return all documents provided by the company and provide a summary of work done. Access to our platform and related services will be suspended upon termination. Provisions of these Terms that by their nature should survive termination, including confidentiality, limitation of liability, and dispute resolution, shall remain in full force and effect.

  • Either party may terminate with not less than 15 days' prior written notice
  • We may immediately suspend or terminate for breach of Terms, non-payment beyond 15 days, or fraudulent activity
  • All outstanding fees for services already rendered become immediately due and payable upon termination
  • Documents provided by the company will be returned upon request after termination
  • Access to the Platform and all associated services will be suspended upon termination
  • Provisions relating to confidentiality, liability, and dispute resolution survive termination

Dispute Resolution

Any dispute arising from or in connection with these Terms and Conditions, or the company ITR filing services provided by Bizeneed, shall first be attempted to be resolved through good-faith negotiations for a period of 30 days from the date of written communication of the dispute by either party. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent of both parties. The seat of arbitration shall be New Delhi, Delhi, India, and the language of arbitration shall be English. The arbitration award shall be final and binding on both parties. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts in New Delhi, Delhi, India shall have exclusive jurisdiction over any disputes not resolved through arbitration.

  • Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
  • Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Sole arbitrator to be appointed by mutual consent of both parties
  • Seat of arbitration: New Delhi, Delhi, India
  • Language of arbitration: English
  • The arbitration award shall be final and binding on both parties
  • These Terms are governed by the laws of India without regard to conflict of law provisions
  • Courts in New Delhi, Delhi, India have exclusive jurisdiction over disputes not resolved through arbitration
