Terms & Conditions - ISO Certification

These Terms and Conditions govern the provision of ISO Certification services including ISO 9001:2015 (Quality Management Systems), ISO 14001:2015 (Environmental Management Systems), and ISO 27001:2022 (Information Security Management Systems), covering initial certification, surveillance audits, and certification renewal. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Introduction

Welcome to Bizeneed India Private Limited. These Terms and Conditions govern the provision of ISO Certification services, including ISO 9001:2015 (Quality Management Systems), ISO 14001:2015 (Environmental Management Systems), ISO 27001:2022 (Information Security Management Systems), and any other ISO standards as may be offered from time to time. These services cover initial certification, surveillance audits, and certification renewal. These Terms are framed in accordance with the Indian Contract Act, 1872, the Consumer Protection Act, 2019, and all applicable Indian laws and regulations. Please read these Terms carefully before engaging our services. By submitting a service request, making a payment, or accepting a service proposal, you agree to be bound by these Terms in their entirety.

  • These Terms govern all engagements for ISO certification, surveillance audits, and renewal services
  • The services are provided by Bizeneed India Private Limited as a technology-enabled intermediary
  • By engaging our services, you confirm you have read, understood, and agree to these Terms
  • If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity
  • These Terms are in addition to, and not in substitution of, the service engagement agreement

Scope

The scope of ISO Certification services offered by Bizeneed includes: (a) Initial certification - end-to-end support for ISO 9001 (Quality Management), ISO 14001 (Environmental Management), and ISO 27001 (Information Security Management) certifications including documentation, implementation guidance, internal audit support, management review assistance, and liaison with certification bodies. (b) Surveillance audits - annual or biannual surveillance audit preparation and support to ensure continued compliance with ISO standards and retention of certification. (c) Renewal - comprehensive support for certification renewal processes including documentation updates, gap analysis, and certification body coordination. The specific scope, deliverables, and timelines for each engagement are as outlined in the respective service proposal or engagement letter. Additional ISO standards may be offered from time to time.

  • ISO 14001:2015 - Environmental Management System certification, surveillance, and renewal
  • ISO 27001:2022 - Information Security Management System certification, surveillance, and renewal
  • Initial certification support including documentation preparation, gap analysis, and implementation guidance
  • Surveillance audit preparation, internal audit coordination, and compliance monitoring
  • Certification renewal support with updated documentation, gap analysis, and body coordination
  • Additional ISO standards may be offered as determined by Bizeneed from time to time

Obligations

Client Obligations: You are required to provide accurate and complete business information, all relevant organisational documentation, and designate a competent management representative for ISO engagement. You must cooperate fully with our consultants and the certification body, provide access to relevant personnel and facilities, and ensure that all provided information is truthful and verifiable. You are responsible for implementing the recommended quality, environmental, or information security management systems and ensuring ongoing compliance with the applicable ISO standard. Bizeneed Obligations: We shall provide qualified and experienced consultants, deliver the agreed-upon services within the specified timelines, maintain confidentiality of all client information, and act with due diligence and professionalism throughout the engagement.

  • Provide accurate and complete business information, organisational charts, and existing documentation
  • Designate a competent management representative to coordinate ISO implementation activities
  • Cooperate fully with consultants and certification body auditors during all stages of certification
  • Provide access to relevant personnel, processes, and facilities as required for audits
  • Implement recommended management systems and ensure ongoing compliance with applicable ISO standards
  • Notify Bizeneed immediately of any organisational changes that may impact the certification scope
  • Provide all necessary information and documents within agreed timelines to avoid project delays
  • Pay all fees as per the agreed schedule without delay

Fees & Payment

Service fees for ISO Certification are as detailed in the service proposal or invoice issued at the time of engagement. The fee structure typically includes: consultancy fees (planning, documentation, implementation, internal audit, management review support), certification body fees (paid directly to the accredited certification body - separate from our consultancy fees), training fees (if applicable), and any applicable government levies, taxes, or duties. All fees quoted are exclusive of GST unless explicitly stated otherwise. Payment is typically structured as: advance payment (30-40% upon engagement commencement), milestone-based payments (upon completion of key phases), and balance payment (upon certification issuance). All payments must be made within 7 days of the invoice date. Late payments may attract interest at 18% per annum. Subscription or retainer services for ongoing compliance support are billed monthly or annually.

  • Service fees are as per the signed proposal or invoice and become binding upon acceptance
  • Fees are exclusive of GST unless explicitly stated otherwise; GST will be charged as applicable
  • Certification body fees are separate from consultancy fees and are billed directly or facilitated through us
  • Payment structure: advance (30-40%), milestone payments, and balance upon certification
  • All payments must be made within 7 days of the invoice date
  • Late payments attract interest at 18% per annum from the due date until actual payment
  • Out-of-pocket expenses, travel, and accommodation for on-site visits are billed separately
  • Services may be suspended for overdue payments exceeding 30 days

Timelines

The estimated timelines for ISO Certification engagements are indicative and subject to the client's level of preparedness, complexity of operations, and responsiveness. Typical timelines are: Initial Certification - 1 to 3 months from engagement commencement to certificate issuance, including documentation, gap analysis, implementation, internal audit, and Stage 1 & Stage 2 audits. Surveillance Audits - scheduled annually (or as per certification body requirements) with preparation support provided 4-6 weeks before the audit date. Certification Renewal - 1 to 2 months before certificate expiry for a seamless renewal process. Timelines are contingent upon timely provision of information, documents, and cooperation from your organisation. Delays caused by the client in providing required information or access may result in proportionate extension of timelines.

  • Initial certification: 1 to 3 months from commencement to certificate issuance
  • Stage 1 audit (documentation review): typically within 4-6 weeks of project commencement
  • Stage 2 audit (implementation verification): typically within 6-10 weeks of Stage 1
  • Surveillance audit preparation: 4-6 weeks before the scheduled surveillance audit date
  • Certification renewal: process begins 1 to 2 months before certificate expiry date
  • Timelines are indicative and subject to client preparedness, operational complexity, and responsiveness
  • Client-caused delays in providing information or access may proportionately extend timelines

Confidentiality

Both parties acknowledge that during the course of the engagement, each may have access to confidential and proprietary information of the other. Bizeneed India Private Limited agrees to treat all client information, business processes, financial data, proprietary methodologies, and any other information shared during the engagement as strictly confidential. We shall not disclose, reproduce, or use such information for any purpose other than the performance of services under this engagement. Our personnel and sub-contracted consultants are bound by similar confidentiality obligations. The client's confidential information includes but is not limited to: business processes, financial records, quality management documentation, internal audit reports, management review minutes, and any other information designated as confidential. This obligation of confidentiality shall survive the termination or completion of services for a period of 3 years.

  • All client information shared during the engagement shall be treated as strictly confidential
  • Client information includes business processes, financial data, quality documentation, and audit reports
  • Personnel and sub-contracted consultants are bound by equivalent confidentiality obligations
  • Confidential information shall not be disclosed to third parties without prior written consent
  • Confidentiality obligations survive termination or completion of services for 3 years
  • Information that is publicly available or independently developed is not subject to this obligation
  • Disclosure may be made if required by applicable law, regulation, or court order

Limitation of Liability

To the maximum extent permitted under applicable Indian law, Bizeneed India Private Limited's aggregate liability under any ISO Certification service engagement shall not exceed the consultancy fees paid by you for the specific engagement in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, certification delays caused by third-party bodies, or any other financial loss arising from the use or inability to use our services. We do not guarantee certification issuance, as the final decision rests solely with the accredited certification body. We are not liable for certification delays, non-issuance, or withdrawal of certification by the certification body. We are not liable for any losses arising from inaccurate, incomplete, or misleading information provided by the client.

  • Aggregate liability limited to consultancy fees paid for the specific engagement in the preceding 12 months
  • No liability for indirect, incidental, special, consequential, or punitive damages of any kind
  • No liability for certification delays, non-issuance, or withdrawal by the certification body
  • Final certification decision rests solely with the accredited certification body; we do not guarantee issuance
  • No liability for losses arising from inaccurate or misleading information provided by the client
  • No liability for force majeure events including acts of God, government actions, or technical failures
  • Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud

Termination

Either party may terminate the service engagement by providing not less than 15 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate services without prior notice if you breach these Terms, fail to make payments when due, provide false or misleading information, or fail to provide required cooperation and access. Upon termination, all outstanding fees for services already rendered become immediately due and payable. We will provide all completed documentation and deliverables up to the point of termination. No refund will be applicable for fees paid for services already rendered. Provisions relating to confidentiality, limitation of liability, and dispute resolution shall survive termination.

  • Either party may terminate with not less than 15 days' prior written notice
  • We may immediately suspend or terminate for breach of Terms, non-payment beyond 30 days, or providing false information
  • All outstanding fees for services rendered become immediately due and payable upon termination
  • Completed documentation and deliverables will be provided up to the point of termination
  • No refund applicable for fees paid for services already rendered
  • Confidentiality, limitation of liability, and dispute resolution provisions survive termination

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent of both parties. If the parties cannot agree on an arbitrator within 45 days, either party may request the appointment of an arbitrator by the New Delhi International Arbitration Centre (BIAC) or any other recognised arbitration institution. The seat of arbitration shall be New Delhi, Delhi, India. The language of arbitration shall be English. The arbitration award shall be final and binding on both parties. Nothing in this clause shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.

  • Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
  • Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
  • Arbitrator appointed by mutual consent; if no agreement, by BIAC or recognised institution within 45 days
  • Seat of arbitration: New Delhi, Delhi, India; Language: English
  • The arbitration award shall be final and binding
  • Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
