These Terms and Conditions govern the provision of Import Export Code (IEC) registration and related foreign trade services, including IEC application, modification, cancellation, and renewal under the Foreign Trade Policy and regulations of the Directorate General of Foreign Trade (DGFT), Government of India. By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
Introduction
Welcome to Bizeneed India Private Limited. These Terms and Conditions govern the provision of Import Export Code (IEC) registration and related foreign trade services, including IEC application, modification, cancellation, and renewal under the Foreign Trade Policy and regulations of the Directorate General of Foreign Trade (DGFT), Government of India. These Terms are framed in accordance with the Indian Contract Act, 1872, the Consumer Protection Act, 2019, the Customs Act, 1962, and all applicable Indian laws and regulations. Please read these Terms carefully before engaging our services. By submitting a service request, making a payment, or accepting a service proposal, you agree to be bound by these Terms in their entirety.
- These Terms govern all engagements for IEC registration, modification, cancellation, and renewal services
- The services are provided by Bizeneed India Private Limited as a technology-enabled intermediary
- By engaging our services, you confirm you have read, understood, and agree to these Terms
- If you act on behalf of a company or legal entity, you represent that you have the authority to bind that entity
- These Terms are in addition to, and not in substitution of, the service engagement agreement

Scope
The scope of Import Export Code services offered by Bizeneed includes: (a) IEC Registration - end-to-end assistance for obtaining an Import Export Code (IEC) from DGFT, including preparation and filing of the online application (ANF 2A), document verification, PAN and bank account validation, and follow-up with DGFT authorities. (b) IEC Modification - support for amendments to existing IEC details including changes in address, bank account, authorised signatory, or other particulars as per DGFT guidelines. (c) IEC Cancellation/ surrender - assistance with surrender or cancellation of IEC in accordance with DGFT procedures. (d) Customs Compliance Guidance - advisory support for customs duty compliance, import-export procedures, and related regulatory requirements. (e) DGFT Advisory - guidance on Foreign Trade Policy provisions, duty drawback schemes, and export promotion schemes. The specific scope, deliverables, and timelines for each engagement are as outlined in the respective service proposal or engagement letter.
- IEC registration - new Import Export Code application and DGFT liaison
- IEC modification - amendments to address, bank details, authorised signatory, or other particulars
- IEC cancellation/surrender - assistance with DGFT cancellation procedures
- Customs compliance guidance - advisory on import-export procedures and customs duty compliance
- DGFT advisory - guidance on Foreign Trade Policy provisions and export promotion schemes
- Additional foreign trade services as may be offered by Bizeneed from time to time
Obligations
Client Obligations: You are required to provide accurate and complete business information, valid PAN, active bank account details in the name of the applicant entity, and all other documents as specified by DGFT. You must ensure that all provided information is truthful, verifiable, and in compliance with the Foreign Trade Policy, Customs Act, and other applicable regulations. You are responsible for the accuracy and authenticity of all documents, information, and declarations submitted for IEC application or modification. You must notify Bizeneed immediately of any changes to business details that may affect the IEC. Bizeneed Obligations: We shall provide qualified and experienced consultants, prepare and file the application with accurate information as provided by you, follow up with DGFT authorities, and deliver the agreed-upon services within the specified timelines. We shall maintain confidentiality of all client information and act with due diligence throughout the engagement.
- Provide accurate and complete business information, registered address, and contact details
- Provide valid PAN of the applicant entity or proprietor/partner/director as applicable
- Provide active bank account details in the name of the applicant entity
- Provide required business documents such as partnership deed, certificate of incorporation, or MOA/AOA
- Provide valid address proof and identity proof of the authorised signatory
- Ensure all provided information is truthful, accurate, and in compliance with applicable regulations
- Notify Bizeneed immediately of any changes to business details that may affect the IEC
- Pay all applicable government fees, including DGFT fees and any other statutory charges
- Cooperate fully with Bizeneed and provide all required documents within agreed timelines
Fees & Payment
Service fees for Import Export Code services are as detailed in the service proposal or invoice issued at the time of engagement. The fee structure typically includes: consultancy fees (application preparation, filing, document verification, and follow-up), DGFT fees (government fees payable to the Directorate General of Foreign Trade - separate from our consultancy fees and billed directly or facilitated through us), courier charges, and any applicable taxes, cess, or duties. All fees quoted are exclusive of GST unless explicitly stated otherwise. Payment is typically structured as: advance payment (50-60% upon engagement commencement) and balance payment (upon issuance of IEC or completion of the service). All payments must be made within 7 days of the invoice date. Late payments may attract interest at 18% per annum. No refund shall be applicable for government fees already paid or for services already rendered.

- Fees are exclusive of GST unless explicitly stated otherwise; GST will be charged as applicable
- DGFT government fees are separate from consultancy fees and are billed directly or facilitated through us
- Payment structure: advance (50-60%) upon commencement, balance upon IEC issuance or service completion
- All payments must be made within 7 days of the invoice date
- Late payments attract interest at 18% per annum from the due date until actual payment
- No refund applicable for government fees already paid to DGFT or services already rendered
- Courier charges for document dispatch and any out-of-pocket expenses are billed separately
Timelines
The estimated timelines for Import Export Code services are indicative and subject to the accuracy of information provided, completeness of documents, and processing timelines of DGFT authorities. Typical timelines are: IEC Registration - 5 to 15 working days from receipt of all required documents and information to issuance of IEC number, subject to DGFT processing timelines. IEC Modification - 5 to 10 working days from receipt of complete modification documents to DGFT approval. IEC Cancellation - 7 to 15 working days for DGFT processing of the cancellation request. Timelines are contingent upon timely provision of complete and accurate information and documents. Delays caused by the client in providing required information or incomplete documentation may result in proportionate extension of timelines. We are not responsible for delays caused by DGFT processing times, government holidays, or system downtime on the DGFT portal.
- IEC registration: 5 to 15 working days from document receipt to IEC issuance
- IEC modification: 5 to 10 working days from document receipt to DGFT approval
- IEC cancellation/surrender: 7 to 15 working days for DGFT processing
- Timelines are indicative and subject to DGFT processing times and system availability
- Client-caused delays in providing information or incomplete documentation may extend timelines
- We are not responsible for delays caused by DGFT processing, government holidays, or portal downtime
Confidentiality
Both parties acknowledge that during the course of the engagement, each may have access to confidential and proprietary information of the other. Bizeneed India Private Limited agrees to treat all client information, business details, financial data, bank account information, PAN details, and any other information shared during the engagement as strictly confidential. We shall not disclose, reproduce, or use such information for any purpose other than the performance of services under this engagement. Our personnel and sub-contracted consultants are bound by similar confidentiality obligations. The client's confidential information includes but is not limited to: business registration details, PAN, bank account information, authorised signatory details, trade-related information, and any other information designated as confidential. This obligation of confidentiality shall survive the termination or completion of services for a period of 3 years.

- Personnel and sub-contracted consultants are bound by equivalent confidentiality obligations
- Confidential information shall not be disclosed to third parties without prior written consent
- Confidentiality obligations survive termination or completion of services for 3 years
- Information that is publicly available or independently developed is not subject to this obligation
- Disclosure may be made if required by applicable law, regulation, or court order
Limitation of Liability
To the maximum extent permitted under applicable Indian law, Bizeneed India Private Limited's aggregate liability under any Import Export Code service engagement shall not exceed the consultancy fees paid by you for the specific engagement in the preceding 12 months. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business opportunities, customs delays or penalties, or any other financial loss arising from the use or inability to use our services. We act as a facilitation service provider and do not guarantee issuance of IEC by DGFT, as the final decision rests solely with the DGFT authorities. We are not liable for any delays, rejection, non-issuance, or adverse decisions by DGFT or customs authorities. We are not liable for any losses arising from inaccurate, incomplete, or misleading information provided by the client or from changes in regulations, policies, or DGFT procedures after service commencement.
- Aggregate liability limited to consultancy fees paid for the specific engagement in the preceding 12 months
- No liability for indirect, incidental, special, consequential, or punitive damages of any kind
- No liability for IEC rejection, non-issuance, or adverse decisions by DGFT authorities
- Final IEC issuance decision rests solely with DGFT; we do not guarantee issuance
- No liability for customs delays, penalties, or adverse actions by customs or regulatory authorities
- No liability for losses arising from inaccurate or misleading information provided by the client
- No liability for changes in regulations, policies, or DGFT procedures after service commencement
- Nothing in these Terms excludes liability for death or personal injury caused by our negligence or for fraud
Termination
Either party may terminate the service engagement by providing not less than 15 days' prior written notice to the other party. Bizeneed may immediately suspend or terminate services without prior notice if you breach these Terms, fail to make payments when due, provide false or misleading information, or fail to provide required cooperation and documents. Upon termination, all outstanding fees for services already rendered become immediately due and payable. We will provide all completed documentation and deliverables up to the point of termination. No refund shall be applicable for government fees already paid to DGFT or for services already rendered. Provisions relating to confidentiality, limitation of liability, and dispute resolution shall survive termination.
- Either party may terminate with not less than 15 days' prior written notice
- We may immediately suspend or terminate for breach of Terms, non-payment beyond 30 days, or providing false information
- All outstanding fees for services rendered become immediately due and payable upon termination
- Completed documentation and deliverables will be provided up to the point of termination
- No refund applicable for government fees already paid to DGFT or services already rendered
- Confidentiality, limitation of liability, and dispute resolution provisions survive termination
Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 before a sole arbitrator appointed by mutual consent of both parties. If the parties cannot agree on an arbitrator within 45 days, either party may request the appointment of an arbitrator by the New Delhi International Arbitration Centre (BIAC) or any other recognised arbitration institution. The seat of arbitration shall be New Delhi, Delhi, India. The language of arbitration shall be English. The arbitration award shall be final and binding on both parties. Nothing in this clause shall prevent either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
- Disputes shall first be attempted to be resolved through good-faith negotiations for 30 days
- Unresolved disputes are referred to arbitration under the Arbitration and Conciliation Act, 1996
- Arbitrator appointed by mutual consent; if no agreement, by BIAC or recognised institution within 45 days
- Seat of arbitration: New Delhi, Delhi, India; Language: English
- The arbitration award shall be final and binding
- Either party may seek urgent interim or injunctive relief from a court of competent jurisdiction
